THE SHORT ANSWER

Prepare collected and delivered instruction, continuing instructors and actual fleet rights before selling a driving school. Define classroom, behind-the-wheel, online and other program activities separately. Review school, instructor, vehicle and buyer conditions with the actual authorities and advisors. Assign prepaid lessons and student records carefully; vehicle count or historic licensing does not independently establish sale value or approved buyer operation.

Reconcile instruction by program and service unit

Describe actual age groups, program types, classroom/online instruction, behind-the-wheel hours, locations and organization contracts. Separate ordinary driver education from enhanced-skills, commercial-driver or other programs requiring their own review. Reconcile unique students, bookings, completed instruction, invoices, discounts, cancellations, make-ups, refunds and receipts with accounts and cash.

Explain school-calendar seasonality, instructor availability, vehicle downtime and collection delays on consistent periods. Distinguish course packages from delivered driving hours; neither a booked calendar nor a school referral establishes paid completed services. Use the driving-school financial guide to reconcile permanent costs and included fleet scope.

Prepare actual school, instructor and buyer conditions

As an Illinois example, the Secretary of State describes fee-based commercial school/instructor licensing and distinct training programs.

(Illinois Secretary of State: commercial driver training)

Have counsel and responsible authorities assess the actual jurisdiction, entity, program, premises, instructors, vehicles and proposed buyer changes. Obtain current status, unresolved conditions and required steps directly from those sources. The Illinois overview is not a national rule, full administrative review or transfer approval; do not assume a license, course certification or instructor’s prior work authorizes the buyer.

Use the coverage worksheet for owner instruction, course administration, scheduling, family/school contact, vehicle coordination and recordkeeping. Verify available appropriately qualified instructors, recurring compensation, preparation/cover time and management. Define temporary seller assistance separately from permanent instruction and administrative coverage.

Define fleet title, condition and operating rights

List each offered training vehicle and fitted equipment by actual ownership, lease, liens, condition, service history, permitted use and required investment. Have qualified vehicle, insurance/legal professionals and responsible authorities review actual modifications, inspection/registration, coverage and claims. Do not prescribe a universal dual-control specification or equate replacement cost with business value.

Use the consent register for vehicle lenders/lessors, premises, school/organization agreements, curriculum/material, brand and scheduling/payment providers. Review actual assignment, consent, renewal and permitted future use with counterparties and counsel. A vehicle on site, referral relationship or software export does not establish every buyer right. Define excluded assets and responsibilities explicitly.

Protect student records and fund remaining instruction

FTC security guidance addresses necessary access and protected information handling.

(FTC: protecting personal information in business)

Begin with approved aggregate collection/completion reports and redacted agreements. Have advisors assess student/family/personnel records, identity or licensing documents, incident/claims files, notices, permitted access, custody/retention and migration. An NDA alone does not permit uploading identifiable child files or sensitive identifiers. Plan truthful communications around verified courses, available instructors and actual notice requirements.

SBA sale guidance addresses agreement assets and liabilities.

(SBA: closing or selling a business)

Assign who performs and funds prepaid instruction, make-ups/refunds, vehicle maintenance, deposits and instructor/provider balances through the delivery guide. Compare closing cash, adjustments, deferred/conditional proceeds and continuing work on consistent fleet and earnings scope. Preparation does not guarantee a premium, student continuation or sale timetable.

Owner questions

What should I prepare before selling a driving school?

Delivered/collected instruction, permanent instructors, actual fleet rights/costs, school/program/buyer conditions and protected funded student duties.

Does a vehicle fleet establish business value?

Reconcile continuing instruction earnings, vehicle title/condition and included assets; replacement cost alone does not establish the business price.

Will school and instructor permissions automatically transfer?

Have actual authorities, counterparties and counsel assess the proposed buyer, program, people and vehicles separately.
