THE SHORT ANSWER

Identify whether a buyer can continue the service operation or is acquiring selected assets and transition support. Compare actual staff coverage, customer behavior, manufacturer conditions and your required post-sale work. Evaluate closing cash separately from contingent payments. Neither warranty authorizations nor a standard multiple determines the available exit on its own.

Define what continues after your departure

Map the owner’s diagnostic, repair, dispatch, estimating, parts-ordering and customer-resolution duties. Verify actual coverage, cost and availability rather than assuming the buyer can immediately replace every task. A van and a contact list may have a different purchase scope from an operating company with continuing technicians and provider agreements.

Use the owner-role worksheet to expose the continuing responsibilities. Consider company-specific proposals for an operating-business sale, selected asset purchase or a staged handoff with advisors. These are possible structures, not evidence of a particular buyer’s demand or a recommended standard employment period.

Test the revenue rights before comparing options

Separate manufacturer-dispatched warranty jobs, direct customer calls and institutional work. Review actual labor allowances, parts reimbursement, claim denials, callback duties, payment terms and achieved margins. Warranty work is not inherently more profitable or a guaranteed revenue floor.

SBA sale guidance addresses the agreement, assets and liabilities.

(SBA: closing or selling a business)

Review each manufacturer and customer agreement for approval, new-contract, termination, assignment and ownership-change conditions using the consent register. Do not assume every manufacturer has a transfer process or that buying the entity guarantees continued dispatch. Make critical unresolved conditions explicit in the proposal and agreed closing steps.

Separate technician credentials from the company

EPA Section 608 guidance addresses covered refrigerant work and equipment-specific technician certification.

(EPA: Section 608 technician certification requirements)

Determine actual work, responsible people and appropriate credentials with qualified support. A technician’s certification is separate from a manufacturer’s authorization and local business/trade requirements. It does not establish staff retention or company-wide permission for every repair.

FTC guidance addresses necessary access and secure business information.

(FTC: protecting personal information in business)

Prepare authorized redacted records before sharing customer addresses, appliance serial numbers, service histories or provider credentials. Confirm permitted use and platform conditions. A historical list does not guarantee repeat calls after you leave.

Compare cash, obligations and your next role

Compare closing cash, debt/payoffs, fees, tax estimates, escrow, seller notes and contingent payments with advisors. Review the compensation, duties, schedule and end conditions of any proposed transition work separately. Deferred consideration has collection and performance risk; adding its face amount to closing cash hides that difference.

Define included vehicles, parts, tools, receivables, deposits and unfinished repairs. Property may be included, sold separately or leased under actual agreed scope rather than a universal rule. Use the preparation guide and the earnings guide to support the conversation. No appliance-sector price range, buyer ranking or private-equity earnings threshold is established here.

Owner questions

What if I perform almost all repairs myself?

Define the work and coverage a buyer needs, then compare actual proposals including the duties and risks of transition support.

Do warranty authorizations guarantee a business sale?

Review manufacturer terms, approval conditions, achieved economics and actual operating coverage.

Is deferred consideration equivalent to cash at closing?

Assess collection, performance and contractual risk separately from immediate cash.
