THE SHORT ANSWER
Define the recurring revenue metric and its observation date before discussing a multiple. Reconcile active accounts, contract terms and the financial records; separate one-time fees and uncertain renewals. MRR or ARR is a defined run-rate measure, not automatically recognized revenue, cash, profit or guaranteed future sales. A subscription label does not establish a valuation premium or make a SaaS benchmark applicable to every business.
Write the definition and reconcile the population
State what the metric includes, excludes and annualizes. Identify the observation date, active-account rules, currency and treatment of discounts, credits, usage charges, cancellations and incomplete implementations. Keep the supporting account schedule consistent with that definition.
SEC KPI guidance addresses definitions, assumptions and calculation methods in issuer reporting.
(SEC Release 33-10751: KPI definitions and calculation)Use it as a presentation reference rather than a private-company reporting mandate. Do not claim one universal ARR definition makes every contract amount certain. Separate fixed recurring commitments from variable usage and habitual repeat purchasing.
Reconcile the schedule to billing and the financial statements, explaining differences rather than forcing them to match. Review contract and renewal quality separately; a run-rate total does not answer whether customers can cancel or how service will continue.
Show what the annualization includes
| Invented run-rate illustration | Defined result |
|---|---|
| Ten active monthly accounts at $1,000 each | $10,000 MRR |
| That monthly amount annualized | $120,000 ARR |
| Separate one-time implementation fees | $20,000; excluded from this definition |
| ARR plus one-time fees | $140,000; not ARR under this definition |
Ten × $1,000 = $10,000; multiplying by twelve gives $120,000. Adding $20,000 produces $140,000 arithmetically but mixes different categories. Do not describe it as clean recurring run rate.
The accountant should review earned revenue and the applicable basis separately. SEC staff interpretations address financial-measure presentation and billing-versus-recognition issues in issuer reporting.
(SEC: non-GAAP financial measure interpretations)An upfront payment is not proof all associated service has been delivered or that the full amount is available for the owner to withdraw.
Connect recurring sales with actual economics
Show delivery labor, product, hosting, support and acquisition effort alongside recurring sales. Explain customer concentration, retention and contract exposure using actual records. The same run rate can require very different spending across businesses.
Use the customer-cohort guide to keep retained revenue separate from new customers. Avoid converting a single churn rate into a guaranteed customer lifetime or using gross customer revenue as profit. Disclose uncertain renewals and required ongoing investment.
If the model is proposed, use the recurring pilot guide to test demand and incremental contribution. Do not assume annual prepayments make growth self-funding or eliminate future service obligations.
Choose valuation evidence that matches the business
Present supported earnings, the defined run rate and their relationship before comparing price methods. Identify comparable transactions by period, business model, size, profitability and rights or assets included. A revenue multiple and an earnings multiple measure different denominators.
Use the valuation guide with qualified professional review. Do not add separately priced recurring and transactional streams to a whole-business value without checking whether benefits and shared costs have been counted twice.
This guide supplies no current ARR multiple table, fixed contract-duration haircut, mandatory margin target or subscription conversion premium. Where comparable evidence is missing, say so and retain scenario assumptions. A new billing label alone does not establish a higher price.
Owner questions
Is ARR the same as earned revenue?
No. Explain the run-rate definition and reconcile recognized revenue separately with the accountant.
Can implementation fees be included in this ARR example?
No. They are explicitly one-time fees excluded from the example definition.
Does subscription billing establish a SaaS valuation multiple?
No. Review actual economics and relevant comparable transaction evidence.
