THE SHORT ANSWER

AI adoption does not establish a business valuation premium. Identify the workflow, measure actual results and reconcile the net earnings effect after required costs. Time released from a salaried employee is capacity, not automatically payroll savings. Keep experiments and forecast growth separate from supported historical performance, and disclose the system’s dependencies, limitations and operating handoff.

Start with the workflow and evidence

Describe what changed, when it changed and who checks the result. Compare consistent periods and a comparable workload. Save the underlying work records, error corrections, vendor bills and relevant accounting entries. A vendor demonstration or a claim that another company grew faster does not establish results for the business being sold.

Explain changes in volume, prices, staffing and customer mix that occurred at the same time. If management cannot isolate the effect, report that limitation. SEC KPI guidance provides a useful reference for clear definitions and consistent methods in its issuer-reporting context.

(SEC Release 33-10751: KPI definitions and calculation)

For a private business, use the accountant’s reporting framework and reconcile the presentation to its records. Do not attribute all year-over-year growth to the software because both occurred in the same year.

Separate capacity from an earnings adjustment

Hypothetical illustration, not a Jaken client result. Assumes the costs are incremental operating expenses and unchanged salary, revenue and all other expenses. Excludes one-time implementation, capital costs and taxes.
Invented annual assumptionMeaning for the earnings bridge
10 hours per week released over 52 weeks520 hours of possible capacity
Capacity valued at $35 per hour$18,200 notional time value; no payroll reduction assumed
Software plus ongoing support$6,000 + $3,000 = $9,000 recurring cost
Baseline EBITDA before the new costs$250,000 supplied assumption
EBITDA after new recurring costs$241,000, absent other changes

The arithmetic is 10 × 52 = 520 hours; 520 × $35 = $18,200 of estimated capacity value. With no actual payroll reduction or other earnings improvement, the $9,000 recurring cost reduces the supplied EBITDA by $9,000. Redeploying the hours may have future value, but an untested contribution forecast belongs in a separate scenario.

Have the accountant determine actual expense or capitalization treatment and timing. SEC staff cautions about removing necessary recurring expenses from adjusted issuer measures; use that as a presentation reference.

Check risks and transferability alongside benefits

NIST’s generative-AI profile identifies potential inaccurate-output, privacy, security and intellectual-property risks.

For the proposed sale, ask who approves sensitive inputs, verifies outputs and resolves mistakes. Identify company accounts, vendor terms, model or workflow versions, outside support and the staff member who can operate the process. Review rights and contractual permissions with counsel rather than assuming an AI-generated asset is owned or freely transferable.

Record observed failures and the fallback process. Avoid calling an automated workflow a competitive moat without evidence of what competitors or the buyer can reproduce. Software that depends on the departing owner’s personal account or undocumented judgment may require additional work before a handoff.

Present supported results without promising a price

Give the buyer a dated bridge showing the original measure, actual changes, required ongoing costs and supporting records. Identify one-time items for separate professional review; do not add back the entire implementation budget by default. Disclose forecast assumptions and implementation status distinctly.

Use the earnings guide to reconcile the measure and the valuation guide to assess the business on appropriate evidence. The value calculator is a scenario tool, not proof that an AI project earns a particular multiple. A buyer’s assessment also depends on the business, included assets, deal terms and diligence findings.

If the technology has not produced reliable operating history, use the bounded pilot guide and describe it as a pilot. Do not convert proposed savings into established earnings or a client success story.

Owner questions

Does time saved automatically increase EBITDA?

No. Unchanged payroll creates possible capacity; an earnings improvement needs actual revenue, contribution or expense evidence after required costs.

Should recurring AI subscriptions be added back?

Not automatically. Required ongoing costs must be reflected in the supported earnings measure; review actual treatment with the accountant.

Does this guide establish an AI valuation premium?

No. It shows how to evaluate evidence and limitations, not a market multiple or promised sale result.
