THE SHORT ANSWER
Reconcile paid occupancy, fulfilled services and net collections with continuing care costs before estimating assisted-living business value. Define rent and any included real estate, then choose closed evidence with matching earnings and assets. The public sold sample here combines assisted living and nursing homes and commonly includes property. It is not a business-only EBITDA range or a current facility appraisal.
Use combined sold observations with asset limits
BizBuySell reports a combined assisted-living/nursing-home category and notes that real estate commonly forms part of these transactions.
(BizBuySell: assisted-living and nursing-home sold benchmarks)| Reported sold combined-category owner-earnings statistic, 2021–2025 | Multiple |
|---|---|
| Lower quartile | 2.42x |
| Median | 3.90x |
| Mean | 4.25x |
| Upper quartile | 5.87x |
Obtain relevant closed businesses matching services, geography, scale, payer model, continuing staff, financial definitions and property interest. Record what was included, sold versus asking and unknown fields. Do not apply an apparently higher property-inclusive multiple to operations alone and then add property again. Use the business/property guide for consistent offer comparisons.
Reconcile occupancy and collections on consistent periods
Define the actual rooms/beds or other units used in the financial analysis and document available periods and any unavailable capacity. Trace occupied periods to resident agreements, service charges, discounts, refunds, receivables, payer remittances and cash. Explain partial periods, moves, disputes and collection timing. Neither licensed capacity nor a waiting list independently establishes fulfilled service revenue.
| Invented room-day group illustration | Assumption/result |
|---|---|
| Available room-days for this stated period | 20 |
| Occupied and paid room-days for this group | 18 |
| Occupied/paid share for this stated group | 90% |
| Assumed realized amount per stated paid room-day | $100 |
| Assumed group amount | $1,800 |
| Distinct specified care staff costs | −$1,200 |
| Distinct specified food/utilities costs | −$300 |
| Remainder after these specified group costs | $300 |
Model lower collections and changed costs with supported assumptions. A universal 75–85% break-even level or 90% occupancy threshold cannot substitute for the business’s own costs and rights.
Include necessary care, management and premises costs
Reconcile care, nursing where offered, administration, supervision, overtime, agency labor and recruiting/training with payroll, schedules and service periods. Include food, supplies, utilities, insurance, maintenance, premises, management/software and shared costs. Use the coverage worksheet to verify appropriately qualified available people and permanent work after seller training.
Support adjustments through the earnings bridge. Distinguish owner-operator SDE from earnings after necessary replacement work; do not remove every owner salary, vehicle or renovation cost, or deduct existing payroll twice. Keep operating rent consistent when property is retained, leased or separately offered. Inspect assets and required investment appropriately rather than adding equipment or goodwill already included in a comparison.
Test payer rights, care obligations and consideration separately
Medicare distinguishes long-term/custodial care from skilled nursing facility care and does not pay for long-term care.
(Medicare.gov: long-term care coverage overview)Have healthcare counsel, responsible agencies, contractors and payers assess the actual services, entity, locations, licenses, permitted capacity, surveys/findings and payer conditions. Verify Medicaid or commercial arrangements individually. A private-pay share, clean-survey label or memory-care label does not independently establish a premium or buyer operating clearance.
Use the consent register for actual dependencies, and the delivery guide to assign receivables, deposits, prepaid services, refunds and remaining resident duties. Have privacy counsel determine permitted evidence and access; an NDA alone is insufficient grounds to upload identifiable files. Compare closing cash, adjustments, conditional proceeds, staff/work commitments, required investment and property scope. An educational calculator does not certify value or approve care operations.
