THE SHORT ANSWER

Define whether an assisted-living offer includes the operating business, real estate or both. Keep earnings, rent and included assets consistent across comparisons. A property cap rate and a business earnings multiple answer different questions; neither establishes a price without supported inputs. Separate closing cash, conditions, continuing care obligations and required investment before comparing proposals.

Start with what each offer includes

SBA describes earnings, market and asset approaches to value and the role of agreement assets and liabilities.

(SBA: closing or selling a business)

Create an offer register identifying the proposed buyer/entity, business assets, property interest, equipment, receivables, deposits, prepaid services, liabilities and excluded items. An operations-only offer may leave the seller as landlord; a property-only offer may leave operating responsibilities with a separate operator. State the proposed rent, lease term, maintenance responsibilities, guarantees and conditions for each arrangement rather than assuming a sale-and-leaseback.

Offer-comparison worksheet, not a prescribed deal structure, appraisal, tax allocation or industry multiple.
Proposal to compareIncome and scope questions
Operating business onlyWhich continuing earnings after occupancy costs support the price, and what lease rights are offered?
Real estate onlyWhich property interest and property income/expense assumptions support the appraisal?
Business and property togetherWhat assets, care duties, operating costs and property interest are included, and how are they reconciled?

Use the financial guide for collections and supported care costs. Do not add a separate property value to a comparable price already including the property.

Keep rent and permanent operating work consistent

Reconcile annual resident charges, adjustments, refunds and collections to accounts and cash. Include continuing care, administrative, food, premises, insurance, maintenance, software and other supported costs. Map the owner’s work with the coverage worksheet and support adjustments through the earnings bridge. Distinguish owner-operator earnings from earnings after necessary replacement work.

When comparing an operations-only offer with a combined-property offer, explain the occupancy cost treatment in each. Owned premises are not costless; a new lease can change recurring expenses and required investment. The rent assumption needs support from the proposed terms and relevant property evidence, not a universal percentage.

Hypothetical arithmetic only: $120,000 − $30,000 = $90,000. Starting measure assumes all other stated costs already included and this rent omitted once. No second deduction of existing occupancy costs. Not complete SDE/EBITDA, market rent, property NOI, industry margin or client result.
Invented annual occupancy-cost bridgeAssumption/result
Stated earnings measure before one omitted annual rent cost$120,000
Distinct omitted annual rent assumption−$30,000
Same stated measure after this rent cost$90,000

Separate required repairs and investment from recurring earnings; do not label every renovation a removable expense.

Understand property capitalization without borrowing a market rate

California BOE appraisal training explains direct capitalization using a defined income estimate and an appropriate capitalization rate derived from comparable property evidence.

(California BOE: direct capitalization appraisal training)

In this mechanism, dividing the matching income estimate by the matching rate gives an indication of property value. Have a qualified property appraiser establish the applicable income, vacancy/collection, expense and tax treatment and rate for the particular interest. The cited training is a property-tax context; it does not supply current assisted-living transaction rates.

Keep property income separate from operating-business SDE or EBITDA. Do not capitalize an entire facility’s care-business earnings as though they were landlord income and then add a business price supported by those same earnings. A fixed cap-rate range, class label, payer ratio or memory-care label does not settle the appraisal.

Compare proceeds, conditions and retained responsibilities

Compare cash at closing, adjustments, conditional proceeds, retained equity, debt/payoff treatment, continuing work and any landlord responsibilities. Have accounting/tax and legal professionals review the particular allocation, lease and proposal. Gross price alone is insufficient to compare what the seller receives and retains.

Use the consent register for provider, entity, premises, lender, payer and vendor dependencies. Assign who funds and performs resident care, deposits, refunds and unfinished obligations through the delivery guide. Review records and access with privacy counsel; an NDA alone does not establish permission to upload identifiable resident files. A financing scenario or value calculator does not approve care operations or issue an appraisal.

Owner questions

Should I add real estate to my assisted-living business value?

First determine whether property is already included in the offer or comparison, and reconcile occupancy costs and income without duplication.

Is a cap rate the same as an EBITDA multiple?

A property capitalization rate relates a defined property income estimate to property value; an earnings multiple needs the specified business earnings and asset scope.

How do I compare a sale with a landlord role?

Compare closing cash and adjustments with the proposed lease, maintenance, guarantees, investment, conditions and continuing responsibilities.
