THE SHORT ANSWER
Prepare a self-storage sale with a clear property/business scope and reconciled rent roll. Separate physical occupancy, contracted rent, concessions, arrears and collections; document unavailable units and actual unit mix. Show continuing management, security and maintenance costs, plus deposits and tenant duties. High occupancy, automated software or spare land does not independently establish earnings, passive operation or expansion approval.
Define property and operating assets
Identify actual land/buildings, operating entity, unit sizes, climate-controlled and other space, access, fixtures, gates, security systems and software. Define what is sold, leased or retained. Distinguish seller-owned equipment and stock from tenant goods stored at the property.
SBA sale guidance describes defining assets and liabilities in the sale agreement.
(SBA: closing or selling a business)Have property/transaction advisers review title, boundaries, easements, use, leases, rent, renewal/assignment and proposed operator conditions. Coordinate property and business valuation scope. Included buildings, units and improvements must not simply be added twice; spare acreage is a matter for actual zoning, approvals, utilities and feasibility review.
Reconcile the rent roll and collections
Prepare protected unit-level records for size/type, availability, occupant agreement, actual rate, discounts, credits, deposits, arrears and move-in/out dates. Define occupancy by units or rentable area and the denominator/date used. Explain out-of-service spaces and whether they are excluded. Different unit sizes mean unit-count occupancy and area occupancy can differ.
Reconcile billed rent, concessions, refunds, collections and uncollected balances to accounts and bank/processor evidence on consistent periods. Separate potential scheduled rent from earned amounts and actual cash. Review delinquency and collection history without assuming every occupied unit pays full advertised rent. Use the storage financial guide to distinguish occupancy from financial performance.
Show permanent management and property costs
Map rentals, customer service, collections, access/security, cleaning, maintenance, vendor oversight and management through the coverage worksheet. Confirm actual continuing people, compensation and coverage after seller help. Software and remote access still need responsible people, permissions and support; do not promise cost-free absentee ownership.
Collect actual roof, drainage, door/gate, fire/building, HVAC, electrical, security, insurance, utilities and maintenance records. Have qualified professionals assess condition, operating/use requirements and needed investment. A climate-controlled label does not guarantee a rent premium or eliminate HVAC/utility costs. Review actual software, payment, premises and vendor terms using the consent register.
Allocate tenant money, data and outstanding duties
Have counsel review actual jurisdiction, occupant agreements, deposits, access, privacy, transfer/notice and lien/dispute matters. Selling the facility is separate from any disposition of stored tenant goods. This guide provides no auction, lockout or lien-enforcement instructions and assumes no automatic ownership of customer property.
Use the delivery guide to allocate deposits, prepaid rent, credits, pending refunds, vendor bills and continuing tenant responsibilities across closing. Protect identifiable tenant data during diligence and document lawful access/migration before handover. Compare closing cash, property scope, consent conditions, repair investment and seller duties; avoid unsupported preparation premiums or guaranteed occupancy retention.
