THE SHORT ANSWER

For a convenience store with fuel, reconcile inside trading, fuel contribution, agency balances and shared costs into supported annual site earnings. Define property, equipment, stock and operating-rights scope before comparing offers. Do not automatically add an inside-sales multiple, a cents-per-gallon value, inventory and property: those amounts can overlap or rest on incompatible definitions.

Use the category that matches the actual activity

Separate a retail-only store from a fuel site, truck stop or managed chain. BizBuySell’s convenience category excludes gas-station listings.

(BizBuySell: convenience store sold valuation benchmarks)

Use the retail convenience guide for that historical sample’s limits. The separate gas-station category primarily covers local gasoline retailers, often with convenience, wash or service activity.

(BizBuySell: gas-station sold valuation benchmarks)

Use the gas-station financial guide for the primary sold table and actual asset-scope questions. Neither sample establishes a current company appraisal, a separate department multiple, managed-chain EBITDA or a guaranteed price.

Before applying a comparable, record source/date, sold versus asking, actual earnings definition, scale, fuel/store mix, required owner work and known property/equipment/stock inclusion. Mark missing fields unknown. An apparently precise range cannot resolve unknown transaction scope.

Reconcile actual inside, outside and shared economics

Trace fulfilled merchandise/food and fuel sales through actual discounts, refunds, charges, settlement and collection. Reconcile fuel product quantities and deliveries with tank/stock records; review actual purchase, freight, tax/fee and rebate definitions appropriately. Separate product gross contribution from annual operating earnings.

For lottery, ATM or other agency services, reconcile actual receipts, provider remittances and retained fee/commission terms with the accountant. Provider money due is separate from acquisition funds. Allocate each department’s distinct costs and explicitly reconcile shared supervision, premises, utilities, repairs, equipment and other overhead once.

Hypothetical arithmetic only: $80,000 + $30,000 − $40,000 = $70,000. Distinct shared costs deducted once; contribution definitions must be supported independently. Other required work/costs, investment, financing and tax excluded. Not complete annual SDE/EBITDA, separate department values, a valuation or client result.
Invented annual contribution bridgeAssumption/result
Assumed inside contribution after stated distinct costs$80,000
Assumed fuel contribution after stated distinct costs$30,000
Distinct shared operating costs not yet deducted−$40,000
Remainder after stated contributions/costs$70,000

Document annual necessary work and each proposed adjustment using the earnings bridge. A food program, brand, loyalty system or bigger gallons figure does not independently prove incremental profit or a fixed premium.

Define property, stock and supplier conditions

Have appropriate professionals assess property, actual occupancy and supported rent assumptions separately from operations. Reconcile consistent rent treatment before combining analyses; do not add property or equipment to a comparable/proposal price already including it. Verify tanks, pumps, canopy/signs, POS, refrigeration and other assets for actual ownership/leases, condition and required investment.

Count fuel and merchandise with actual title, credits, consignment, condition and eligibility questions. Define included versus additional stock, count date, valuation and disputes using the delivery guide. Read actual fuel/brand supply price/freight/rebate, volume, exclusivity, term, renewal, security, equipment/image and ownership-change conditions using the consent register. A familiar brand, existing allocation or long term does not establish buyer rights or an automatic value addition.

Resolve site evidence and proposed continuing activity

EPA’s UST resources address prevention/detection, financial responsibility and reporting/records.

(EPA: underground storage tank owner and operator resources)

Prepare actual system/operator documents, inspection/testing/maintenance records, environmental reports, release/cleanup history and agency correspondence. Have qualified environmental professionals, counsel, responsible agencies and any lender assess actual scope, reliance/update, findings, proposed ownership/operator conditions and continuing responsibilities. No report, test or indemnity alone establishes site clearance or a universal liability release.

Review actual food, alcohol, tobacco, lottery and other activity conditions where offered with appropriate authorities/providers. Map permanent store/food, purchasing, stock/cash and site/operator coverage using the work guide. Compare cash, inclusion, required investment, actual rights and continuing customer duties. Do not assume fixed testing/assessment costs, mandatory timelines, automatic transferable licenses, guaranteed environmental-fund support or upgrade premiums.

Owner questions

How do I value a store with both fuel and inside sales?

Reconcile supported department results and shared costs into annual earnings, then match actual comparison and asset scope.

Should I add gallons-based value to inside SDE value?

Establish supported consistent definitions and prevent overlap; gallons or gross contribution alone does not establish separate value.

Does inventory at cost always increase the offer?

Define actual eligible stock and inclusion/valuation terms; avoid duplicate stock additions.

Put this decision into numbers.

Use explicit assumptions and keep the result as a starting point for your advisors.
