THE SHORT ANSWER
Reconcile supported retail earnings, agency/provider settlements and necessary recurring work before matching convenience-store comparisons. BizBuySell’s national 2021–2025 reported sold retail convenience table gives a 1.82x median owner-earnings multiple and excludes gas-station listings. It is historical retail context, not fuel/property pricing, managed-platform EBITDA or a current appraisal.
Use the retail convenience sold category within its scope
The primary report concerns retail daily food/drink/household stores and explicitly excludes gas-station listings.
(BizBuySell: convenience store sold valuation benchmarks)| 2021–2025 reported sold retail convenience owner-earnings statistic | Multiple |
|---|---|
| Lower quartile | 1.32x |
| Median | 1.82x |
| Mean | 2.39x |
| Upper quartile | 2.77x |
Match actual geography, scale, hours, merchandise/service mix, owner work, measure definitions and included assets. Seek relevant current transactions separately. Trading history, a busy location and agency turnover do not independently select a fixed tier or create a standard premium.
Separate agency receipts from retained cash
Reconcile actual lottery, ATM, bill-payment or other agency activity where offered through receipts, provider balances, remittances, commissions, charges and settlement. Have the accountant establish the appropriate revenue/expense presentation from actual contracts. An amount processed for another party is separate from retained store cash.
| Invented agency-period cash illustration | Assumption/result |
|---|---|
| Assumed customer receipts | $5,000 |
| Assumed amount remitted to provider | −$4,800 |
| Retained before separate stated fees | $200 |
| Distinct additional provider fee | −$35 |
| Retained after the stated fee | $165 |
Keep actual merchandise trading and costs separate, then reconcile the total annual result. Review purchases, shrink, wages, supervision, rent, utilities, repairs and shared overhead. Do not multiply gross agency receipts into value or deduct a fee twice.
Define supported earnings and necessary continuing work
SEC adjusted-measure guidance is an issuer-presentation reference.
(SEC: non-GAAP financial measure interpretations)Have the accountant define period, starting measure, actual deducted expenses and future purpose. Draws, debt principal, stock or asset purchases, every repair/renovation and personal vehicle payments are not automatic adjustments. Resolve incomplete cash records through proper records rather than extrapolate unrecorded sales.
Include necessary purchasing, stocking, cash control, agency oversight and shift supervision using the earnings-basis guide. Verify available recurring people and actual replacement cost on the chosen basis. Temporary seller help and a proposed manager do not establish permanent funded work; no universal revenue-based measure switch is assumed.
Keep inventory, rights and price scope consistent
SBA sale guidance describes valuation approaches and agreement scope.
(SBA: closing or selling a business)Identify which stock, fixtures, refrigeration, brand and systems an earnings-based offer includes before adding them again. Review owned usable stock, count date, eligible items, valuation and disputes. Inspect equipment title/liens/leases, condition and needed investment with appropriate support; provider-owned systems are separate.
Resolve actual proposed service/authority and vendor conditions using the seller preparation guide. Read actual premises/use/rent/renewal/consent using the consent register. Define provider balances, receivables/payables, deposits, stored value, accepted orders and claims using the delivery guide. Review fuel/property and environmental scope separately if present. Tools calculate stated scenarios, not certified appraisals or automatic stock/premium adjustments.
