THE SHORT ANSWER
Value the defined brokerage’s continuing earnings and actual rights, not property sale volume, roster size or pending pipeline alone. Reconcile completed company commissions with agent/referral shares and full supervision/support costs. Match actual transaction evidence and brand terms with advisers. This guide substantiates no universal brokerage multiple, market-share premium or guaranteed agent/client retention.
Define the earnings and valuation scope
SBA describes income, market and asset approaches.
(SBA: closing or selling a business)Have advisers define actual company assets, agent/franchise arrangements, premises, liabilities, earnings presentation and method. Client-owned properties are not automatically company assets. A property-management or unrelated agency sample is not a verified brokerage-only range; seek completed comparisons matching agent/split model, location, scale, owner duties, brand, dates, earnings basis and payment terms.
Reconcile actual completed transaction fees, company collections, agent shares, referrals, credits/refunds and accounts. Have the accountant agree gross/net reporting and recognition. Property transaction volume, gross client deposits and a proposed closing forecast are distinct from supported company earnings.
Test a completed-commission group first
Separate completed/collected fees from listings, pending contingencies and future deals. Review actual contractual commission rights and outstanding agent/referral duties rather than treating the full incoming payment as free company profit.
| Hypothetical completed-fee group | Assumed amount | Boundary |
|---|---|---|
| Company-collected commissions | 50,000 dollars | No pending pipeline or client escrow |
| Agent shares | 35,000 dollars | Distinct amount not already deducted |
| Referral fees | 2,000 dollars | Separate stated amount |
| After specified amounts | 50,000 − 35,000 − 2,000 = 13,000 dollars | Before supervision, premises and other costs |
The 13,000-dollar balance follows 37,000 dollars of specified amounts. It is not an accounting classification, SDE, annual earnings, market margin or business value. Remaining supervision, support, franchise/brand, premises, insurance, administration, other duties, financing and taxes are outside this example.
Recast permanent production and support
Use the earnings bridge for supported adjustments. Map owner production, supervision, recruiting, agent support, transaction coordination, funds administration and management through the coverage worksheet. Budget permanent qualified replacement where omitted; do not add back all owner compensation or deduct already included payroll again.
Test actual agent/client choice, compensation arrangements, dependence on owner referrals, local activity and supported brand costs. A large roster, low owner hours or recognizable franchise does not independently prove a premium. Review actual lease, software/listing-data, franchise and agent rights with the consent register. Keep investment and liabilities separate from continuing earnings and financing.
Review pending files and client-fund boundaries
Illinois’s special-account rule addresses escrow and records separately.
(Illinois JCAR: real-estate special accounts, section 1450.750)Have counsel and a qualified accountant assess actual jurisdiction, fund rights, custody, ledger/bank reconciliations and unresolved matters. Client money is distinct from earned commissions and unrestricted company cash; the state example provides no universal classification or release authority.
Allocate pending-file service, agent/referral balances, credits/refunds, vendor bills and actual client duties through the delivery guide. Review proposed operator/supervision, client-data access, notices and transfer conditions with responsible advisers. Compare closing cash, rights, funded duties and investment without duplicated assets or a fixed roster/pipeline premium. The calculator does not certify an appraisal.
Owner questions
What brokerage valuation multiple is verified here?
No universal brokerage-specific range is substantiated; obtain actual matched completed evidence and a defined company earnings/rights scope.
Is the 13,000-dollar example company profit?
It is only the balance after two specified amounts, before supervision, support, premises and other costs.
Can pending commissions be treated as guaranteed cash?
Review actual status, contingencies, contractual rights, remaining duties, recognition and collection separately.
