THE SHORT ANSWER
Reconcile painting job revenue and actual costs to annual financial results, then evaluate supported adjustments and the cost of necessary owner work. Keep individual job contribution separate from SDE or EBITDA. Compare price evidence only on a consistent earnings and asset basis. A generic painting multiple or an automatic add-back cannot establish value.
Compare estimates with completed job costs
Review jobs by scope, preparation, access, materials, labor and approved changes. Explain differences between estimated and actual hours, purchasing, weather delays, rework and customer credits. Trace completed and open work to the accountant’s reporting basis instead of mixing deposits with earned revenue.
| Invented completed-job bridge | Amount |
|---|---|
| Specified job revenue | $20,000 |
| Specified labor cost | −$8,000 |
| Specified materials | −$4,000 |
| Specified preparation/disposal, not already included | −$1,000 |
| Remainder after only these costs | $7,000 |
Use actual job records to identify missing costs. A high job remainder can coexist with weak annual earnings when management, insurance, rent, marketing or rework is outside the job report.
Build the annual earnings and owner-role bridge
Start with financial statements and reconcile the chosen measure, period and supported adjustments. SEC guidance on adjusted measures is an issuer-reporting reference.
(SEC: non-GAAP financial measure interpretations)Have the accountant review the private-company presentation. Distinguish salary expense from owner draws, operating expenses from capital purchases and interest from loan principal. Do not add all taxes, vehicle payments or renovations back automatically.
Record owner estimating, crew supervision, selling and customer-resolution duties. Budget necessary recurring replacement costs consistently and avoid deducting a cost already included in the starting measure. Use the earnings guide and the operating preparation register to connect the financial bridge to actual coverage.
Review labor and covered-work assumptions
IRS employment-tax classification depends on the actual relationship and control/independence factors.
(IRS: independent contractor or employee)Ask advisors to investigate the current staffing arrangement and associated costs; also review applicable state and wage/hour obligations. The absence of payroll expense does not prove labor can continue at the same cost.
EPA says RRP firm certification is not transferable and a new owner must submit a new initial application.
(EPA: RRP firm certification and changes in ownership)For covered work, confirm the responsible program and actual transaction plan. Identify approval or coverage dependencies that could affect operations and transition spending. Firm credentials and a strong referral history do not establish automatic buyer permissions or a fixed valuation premium.
Compare evidence and included assets consistently
SBA sale guidance addresses assets, liabilities and the written agreement.
(SBA: closing or selling a business)Define vehicles, tools, stock, receivables, customer deposits and unfinished jobs within the proposed scope. Review what actual comparables include and whether their earnings measure matches yours. A claimed industry average without traceable dates, sample and metric is not a supported price basis.
Evaluate customer relationships, crew coverage and warranty obligations through evidence rather than adding separate percentages to an assumed multiple. Use the working-capital guide to clarify the actual adjustment mechanism. The scenario calculator supports assumptions; obtaining a company-specific valuation requires verified inputs and comparison judgment.
Owner questions
Is the $7,000 job remainder SDE?
No. It deducts only the listed invented job costs and does not establish annual owner earnings.
Can all owner draws be added back?
Trace the accounting and actual owner work; a draw may never have reduced earnings.
What supports a painting-company multiple?
Consistent financial definitions, verified comparable evidence, included assets and actual operating dependencies.
Sources and review scope
Source review completed . The sources below support the identified concepts or rules; they do not validate hypothetical amounts or a valuation of your business.
- SEC: non-GAAP financial measure interpretations
Staff interpretations last updated December 2022: recurring operating costs and distinguishing EBITDA from adjusted measures. SEC reporting context, not a universal private-sale rule or automatic acceptance of add-backs.
- IRS: independent contractor or employee
Federal employment-tax classification based on control and independence, behavioral/financial factors and relationship. A form or contractual label alone does not establish status. State employment and wage/hour requirements require separate current review.
- EPA: RRP firm certification and changes in ownership
EPA-administered Renovation, Repair and Painting firm certification, covered work and changes in ownership. EPA states firm certification is not transferable and a new owner must submit a new initial application. State/Tribal programs and actual work/transaction structure require separate review; not clearance for every painting job.
- SBA: closing or selling a business
Valuation approaches, sale agreements, assets and ownership transfer.
Confirm tax, legal, accounting and lending applications with the relevant professionals. Historical market observations describe the stated period and reported sample.
