THE SHORT ANSWER

Define a specific document task, approved inputs, required output and responsible reviewer before using AI in a sale process. Check the result against actual source documents and record errors, omissions and limitations. A generated summary is not a verified financial reconciliation, legal opinion, valuation or prediction of closing. This guide endorses no vendor and supplies no performance benchmark.

Start with a task and an acceptance rule

Describe a narrow proposed use, such as drafting a document index, identifying candidate dates for review or organizing questions from supplied records. Define the actual documents, expected output format and person responsible for checking it. A possible use case is not proof that a particular product performs it accurately.

NIST describes its Playbook as a voluntary, adaptable AI risk-management resource.

(NIST: AI Risk Management Framework Playbook)

Use it as general context for reviewing the proposed task, not a required sequential acquisition checklist, certification or assurance. Agree how missing input, unreadable pages, duplicate files, conflicting versions and uncertain output will be surfaced. Do not let a clean-looking report conceal an incomplete document set.

Approve the data and provider arrangement first

FTC guidance supports limiting sensitive information and authorized access to a legitimate need.

(FTC: Start with Security business guidance)

Have the responsible legal, privacy and technical advisers review what may be supplied and the actual provider’s handling, retention, access and contractual terms. Do not upload an entire personnel, customer or financial archive merely because a tool accepts it. Use only approved material and recipients for the defined assignment.

Record the approved scope and protect the source versions. This guide does not verify a vendor’s training-data policy, deletion promise, security, current features or permitted use of a target’s documents. A confidentiality agreement with another transaction party is not automatically permission for a separate provider.

Keep generated suggestions separate from checked findings

Use a reviewer register to show what was proposed and what the source actually establishes.

AI source-and-review register; generated output is not verified diligence
AI-assisted review registerEvidence before relying on the result
Input and taskApproved document/version, task scope and expected output
Generated suggestionExact proposed finding and claimed source location
Independent checkOriginal passage or record, supporting reconciliation and discrepancies
Responsible reviewQualified reviewer, open question and accepted conclusion
Release decisionAuthorized recipient, reviewed version and unresolved limitations

For a financial claim, reconcile the actual records, periods, classifications and treatment with the accountant. For a contract question, ask counsel to review the full applicable terms and facts. Do not treat an extracted sentence as the complete agreement or assume a model checked every bank transaction.

Compare the completed task with its full cost

Evaluate actual usable output, errors, omissions, reviewer effort, provider cost and any correction or implementation work. State what the pilot covers and what it does not. Do not convert a measured task result into a universal time-saving, better-valuation or risk-reduction claim.

Keep external information requests and communications subject to the actual authorized process. An online mention, job posting or generated sentiment score does not establish a business owner’s willingness to sell. Verify public facts and obtain required authority before relying on a proposed action.

Use the earnings bridge and the consent register for the substantive questions. Technology can be evaluated as part of a defined workflow; the seller’s evidence and qualified review remain visible in the finished diligence record.

Owner questions

Can an AI summary verify the target’s earnings?

No. Reconcile actual source records and treatment with the accountant; record the tool’s scope and checked limitations.

Does this guide recommend a data-room or valuation vendor?

No. Evaluate the actual proposed task, provider terms, usable output and full cost.

Can online signals prove an owner wants to sell?

No. Verify actual facts and authorized communications; do not infer willingness or urgency from generated scores.
