THE SHORT ANSWER

A family succession plan should separate who owns shares, who works in the business and who can make decisions. Confirm interest and demonstrated capability, then review funding, valuation and the legal transfer with advisors. Equal ownership does not mean equal operating roles or income. A family relationship does not make a transfer tax-free or guarantee continuity.

Confirm willingness and capability before naming a successor

Ask prospective successors whether they want an operating role, an ownership interest, both or neither. Record the answer without interpreting silence as consent. Describe the work that must continue and the experience or qualified coverage it requires. A relative’s interest in the legacy is different from readiness to run payroll, manage customers or authorize spending.

SBA planning guidance supports clearly identifying responsibilities and relevant experience.

(SBA: organization and management planning)

Use defined tasks and appropriate supervised responsibility to assess capability. Maintain an alternative route if the proposed successor declines or the evidence does not support the role.

Separate the family’s different rights and expectations

Family discussion brief; enforceable rights require the relevant governing documents and law.
Role or issueDecision to document
Operating leaderAuthority, qualifications, reporting and compensation
Working family memberJob duties and employment expectations
Nonworking ownerVoting, information and distribution rights for legal review
Departing ownerClosing cash, continuing role and any deferred payments
DisagreementAgreed escalation and professional review process

Discuss company distributions separately from wages and note repayments. No one should promise an income stream without testing company cash needs and the actual rights. Identify which decisions need consent under current ownership documents. A family meeting cannot silently amend those documents.

Review the transfer instead of assuming a family discount

Clarify whether the proposal is a sale, gift, inheritance or a combination. IRS gift guidance addresses transfers without full consideration and supporting appraisal and transfer records.

(IRS: gift-tax questions and transfer valuation)

Ask tax and legal professionals how the actual interest, consideration, restrictions and timing should be valued and reported. Do not apply an automatic family discount or assume that giving shares resets their tax basis. Separate valuation used for transfer reporting from price discussions and the founder’s personal cash requirement.

Include other owners, required consents and debt or guarantees in the review. Identify proposed terms as proposals until properly documented and agreed.

Test the handoff and provide a fallback

Assign operating responsibilities in stages with explicit authority, escalation and required oversight. Review results and remaining owner interventions. Coordinate lender, premises, customer and license questions rather than assuming that keeping the family name avoids approvals.

Prepare a contingency discussion for absence, a successor’s departure or an unresolved dispute. Have counsel align ownership and estate documents with the intended operating authority; this article does not establish that authority. Use the owner-dependency handoff log and the owner exit versus succession planning map to keep personal goals and business continuity connected. A plan should make difficult questions visible, not promise a survival rate or permanent family harmony.

Owner questions

Must every child own an equal share?

This is a family and legal planning decision. Ownership, work, control and personal financial needs should be considered separately.

Does giving shares to a child eliminate taxes?

No blanket exemption applies to every transfer. Review valuation, reporting, basis and actual tax consequences with professionals.

What if no relative wants the operating role?

Keep other leadership and ownership routes available rather than assigning a role someone has not accepted.

Put this decision into numbers.

Use explicit assumptions and keep the result as a starting point for your advisors.
