THE SHORT ANSWER

Prepare a Subway or other sandwich-shop sale using the outlet’s actual completed trading and continuing costs. For a franchise, review actual agreements and proposed buyer approval, transfer, renewal, training and investment conditions; for an independent shop, establish brand and operating rights. Record premises, equipment, permanent shifts and outstanding customer orders. This guide supplies no Subway-specific fee schedule, approval assurance, ROI forecast or automatic transfer rule.

Prepare actual outlet and channel trading

Reconcile each offered outlet’s completed counter, direct-order, delivery-provider and catering business through discounts, refunds, fees, settlements and collections. Avoid counting the same provider order again as a bank payout. Separate future catering deposits, gift balances and unfulfilled orders from achieved service records. Include ordinary, peak and seasonal periods rather than a selected sales week.

Show ingredients, waste, packaging, crew, supervision, premises, utilities, ordinary repairs, insurance and administration. Identify actual recurring brand, advertising, supplier and platform costs without inventing customary rates. Use the financial guide for supported continuing earnings. Strong brand recognition or a busy lunch period is separate from the cash a buyer can use after costs and financing.

Prepare the actual franchise or independent rights file

The FTC’s franchise guide points to costs, controls and Item 17 transfer/renewal review.

(FTC: consumer guide to buying a franchise)

With franchise counsel and the responsible franchisor, review actual current agreements and proposed buyer terms: approval, any first-refusal right, transfer fees, training, remaining term, renewal, required improvements and continuing obligations. Identify who pays and completes each actual condition; do not treat all sandwich brands or every resale identically.

For an independent shop, document actual brand/IP, recipes, domain, phone, POS/provider accounts, suppliers and lawful data rights. Use the consent register for term, assignment, termination and access conditions. An offer accepted by the seller is separate from the required rights and permissions to operate.

Document usable premises, kitchen and permanent shifts

Prepare actual lease use, rent, renewal, assignment and landlord requirements. List refrigeration, preparation equipment, ovens, counters, POS and leased assets through ownership, liens, service history, condition and necessary changes. Review actual franchisor-required improvements separately from ordinary maintenance, with evidenced scope and cost rather than a universal remodel deduction.

FDA describes the Food Code as a jurisdiction model.

(FDA: Food Code model and adoption overview)

Have responsible authorities and qualified people review actual retail/catering activities, adopted requirements and proposed ownership conditions; this overview gives no operating approval. Map prep, food buying, service, opening/closing, shifts and management through the coverage worksheet. Confirm permanent people and compensation beyond seller training.

Allocate outstanding orders and concrete closing duties

SBA sale guidance describes defining assets and liabilities.

(SBA: closing or selling a business)

Reconcile actual stock ownership and condition, unused gift/prepaid balances, catering orders, deposits, refunds, provider settlements and vendor bills through the delivery guide. Agree who delivers remaining services and funds each obligation across closing. Do not count every deposit or provider balance as unrestricted seller cash.

Compare actual approval, lease, training, investment and funding conditions alongside closing cash and seller assistance. Plan truthful employee, supplier and customer communications at the agreed stage. Replace promises of top-dollar preparation or guaranteed returns with documented outlet results, actual proposed rights and accountable completion duties.
