THE SHORT ANSWER

Prepare the service team, collected membership revenue and obligations a buyer will inherit. Reconcile successful recurring payments separately from member counts, failed charges and unused visits. Verify permanent therapist coverage and actual premises/franchise conditions. Assign gift cards and prepaid services with their funding. Ambience, membership agreements or historic client loyalty do not independently establish price or guaranteed continuity.

Give buyers a membership and service bridge

Describe actual massage, other wellness services, product sales and any room-rental streams. Separate walk-in appointments, packages, gift cards and recurring memberships. Reconcile invoices, successful charges, failed payments, discounts, credits, refunds and settlements with accounts and cash. Distinguish active paying members from historical registrations, paused accounts and unused service credits.

Prepare consistent-period cohorts showing openings, new members, pauses, cancellations and continuing collected payments. Reconcile what members can redeem and what has already been delivered; a successful recurring charge is separate from fulfilled service earnings. Use the massage earnings guide for a limited payment illustration and mixed-sector benchmark. Do not annualize one strong collection month or price every registered member as guaranteed renewal income.

Prepare the therapists who will continue the work

Map owner appointments, reception, scheduling, hiring, supply purchasing and management with the coverage worksheet. Identify available appropriately qualified therapists, actual service time, preparation/cover, recurring compensation and management. Cost permanent coverage beyond any temporary seller appointments or training.

Have professionals and responsible authorities review actual practitioner, establishment, service and proposed buyer requirements in the relevant jurisdiction. Review employment/provider and transition arrangements with counsel and the people involved. No universal license transfer or staff-retention promise follows from a signed contract. Plan approved staff communication in the confidential process and distinguish historic client preference from future choice.

Define actual franchise, premises and equipment rights

FTC franchise guidance highlights costs, controls and transfer/renewal questions.

(FTC: consumer guide to buying a franchise)

For a franchise resale, review current agreements, proposed buyer terms, fees, training, improvements, term and approvals with counsel and the franchisor. For an independent spa, identify actual brand, booking/payment and provider rights separately. A mixed wellness model should not be treated as unrestricted permission to provide medical services.

Use the consent register for lease assignment/renewal, use, room arrangements and software. Inspect tables, linens, laundry equipment, fixtures and products appropriately; verify ownership, leases, liens, condition and investment. Cosmetic ambience is separate from equipment suitability and permitted continued use.

Allocate prepaid duties and protect client information

FTC security guidance addresses necessary access and protected handling.

(FTC: protecting personal information in business)

Begin with approved aggregate/redacted evidence. Have privacy/legal advisors assess client intake, treatment, personnel and incident records, applicable requirements, notices, access, retention and migration. An NDA or booked appointment does not independently permit disclosure of identifiable sensitive records. Plan truthful client/team communications around actual closing conditions.

SBA sale guidance addresses agreement assets and liabilities.

(SBA: closing or selling a business)

Reconcile gift cards, memberships with unused credits, packages, deposits, refunds and provider balances. Assign who performs and funds remaining services through the delivery guide. Compare closing cash, adjustments, conditional proceeds, required investment and ongoing seller duties; preparation does not establish a standard percentage premium.
