THE SHORT ANSWER
Prepare supported department results, owned usable inventory, refrigeration and premises evidence, and actual supplier/authority conditions before marketing a grocery store. Define recurring buying, stocking, food preparation and supervision after the owner leaves. Specify stock and customer obligations in each offer. A specialty department, anchor location and full shelves do not independently establish profit or an inventory addition to price.
Reconcile actual department trading and annual costs
Separate dry goods, produce, meat/seafood, bakery, prepared foods, delivery and other offered activity. Trace fulfilled purchases through POS, discounts, refunds, provider fees, settlement and collection. Reconcile departments and channels with annual accounts without counting the same order and payout twice. Explain actual hours, seasonal changes and closures.
Include purchases, shrink/spoilage, department labor, preparation, premises, utilities, refrigeration service, distribution/provider costs and shared overhead. Explain supplier rebates, shelf/display payments and credits on the actual contractual and accounting basis. Higher sales or an attractive deli counter are separate from supported annual earnings. Use the grocery financial guide for department-cost and benchmark limits.
Prepare owned stock and actual supplier terms
Reconcile dated physical counts, purchase/credit records and a consistent cost basis. Separate owned stock from consigned, supplier-owned, damaged, expired, recalled or otherwise unusable items, with appropriate product/handling review. Record unresolved title, quantity, valuation and usability questions rather than treating a ledger total as cash value.
Read actual purchasing, rebates, shelf-space/display payments, exclusivity, consignment, returns, credit and ownership-change terms with advisors. Historical supplier relationships and claimed shelf revenue are separate from committed buyer rights. Use the consent register to track necessary counterparty conditions and actual premises use, rent, renewal, assignment and landlord consent.
Prepare refrigeration, people and actual permissions
Arrange appropriate premises/equipment review of coolers/freezers, food-preparation systems, shelving, POS and other offered assets. Document ownership, liens, leases, maintenance, condition, downtime and required investment. Provider-owned equipment is separate from included owned assets. Map buying, stocking, preparation, cash control and supervision using the coverage worksheet; verify available permanent people and actual cost beyond seller training.
USDA’s SNAP notice requires a new owner to apply rather than use the seller’s permit.
(USDA: SNAP retailer permit and ownership notice)Resolve actual proposed ownership/authorization and other food, alcohol, tobacco, lottery, WIC or service questions where applicable with advisors and authorities. FDA describes the Food Code as a jurisdiction model.

SBA sale guidance addresses agreement assets and liabilities.
(SBA: closing or selling a business)Specify whether inventory is included, additional or handled through an agreed adjustment; set count dates, eligible stock, pricing basis and dispute process. Define equipment, receivables/payables, deposits, stored value, accepted orders, refunds and claims using the delivery guide. Identify who funds and completes remaining service.
FTC guidance addresses necessary access and secure handling.
(FTC: protecting personal information in business)Use approved redacted financial, loyalty/customer and personnel examples and stage permitted access. Compare cash, required investment, usable operating rights and continuing people. No fixed preparation uplift, anchor-tenant premium, mandatory inventory-at-cost addition or guaranteed sale outcome is assumed.
