THE SHORT ANSWER

Prepare a contracted-delivery sale by identifying the actual program, entity, agreement and proposed buyer conditions. Reconcile completed services and settlements with full driver, fleet and management costs. Document owned/leased equipment, qualified staffing and funded remaining duties. FedEx service-provider businesses and Amazon DSP operations have distinct arrangements; neither should be marketed as automatically transferable passive route income.

Define the actual program and proposed transaction

FedEx’s FAQ describes independent service-provider businesses and distinct pickup/delivery and linehaul services; it is not a party to business-sale discussions.

(FedEx BuildAGroundBiz: service-provider relationship and responsibilities)

Identify the actual entity, service area/station or linehaul work, agreement, term, compensation basis, termination and assignment/change-of-control conditions. Confirm proposed operator and any required approvals directly with the responsible provider and counsel. A seller-buyer agreement is separate from an accepted ongoing service arrangement.

Amazon’s June 2026 DSP overview describes a full-time owner-operator managing day-to-day delivery and employees.

(Amazon Business: DSP owner-operator overview (June 2026))

This startup overview does not establish an acquisition or ownership-transfer approval. Obtain actual Amazon direction for the entity, agreement, proposed structure and operating role. Keep DSP, FedEx, Amazon Freight Partner, Flex and Hub program rights distinct; do not substitute one program’s terms for another.

Prepare completed-service and permanent-cost evidence

Reconcile actual service/dispatch records, earned settlements, adjustments, deductions, credits, invoices, accounts and collections by period. Separate achieved completed work from volume forecasts, future service assignments and peak-period extrapolations. Use the financial guide for defined continuing earnings and included assets.

Use the earnings reconciliation for permanent driver wages/benefits, overtime, relief coverage, dispatch, management, fuel, insurance, maintenance, equipment leases, premises and administration. Map seller duties and actual qualified permanent coverage through the coverage worksheet. Necessary driving, recruiting, dispatch and management remain operating work; seller assistance is separate from cost-free permanent replacement.

Prepare fleet rights, condition and qualified records

List actual vehicle/equipment ownership, titles, liens, leases, assignment/buyout conditions, maintenance history, condition and necessary replacement work. Have qualified fleet and financial professionals review actual inspections, costs and timing. A branded van or vehicle roster does not independently establish ownership, unrestricted transfer rights or operational acceptance.

Review actual driver qualifications, training, safety records, incidents, staffing and applicable responsibilities with counsel and qualified operational professionals. Provider standards and actual legal requirements require transaction-specific assessment. Review fleet, premises, vendor and insurance arrangements through the consent register. Avoid describing the entire operation as compliant solely because a roster, policy or contract exists.

Fund duties and accepted delivery continuity

SBA sale guidance describes identifying transaction assets and liabilities.

(SBA: closing or selling a business)

Allocate unsettled earned amounts, adjustments, claims, payroll, fuel/vendor bills, leased equipment and open service commitments through the delivery guide. Agree actual custody, collections, payment and service responsibilities across closing. Separate company cash from balances owed to others and continuing obligations.

Record included assets, actual provider conditions, fleet acceptance, permanent coverage, necessary investment and seller assistance. Plan agreed staff/provider/vendor communications and authorized system/access changes with responsible parties. Compare funded offer terms and usable closing proceeds without guaranteed assignments, automatic approval or universal preparation premiums.

Owner questions

What should I prepare before selling a contracted-delivery business?

Actual provider/entity/contract conditions, earned settlements, fleet rights/condition, permanent qualified staff and funded operating handover.

Are FedEx and Amazon DSP arrangements interchangeable?

Review each actual program and contract separately; no automatic equivalent transfer or approval is established.

Is route income passive after the sale?

Fund actual permanent driving, dispatch, staffing and management obligations; owner assistance alone does not replace them.
