THE SHORT ANSWER

Reconcile annual earnings and necessary owner work, then define what machinery, stock, tooling and customer obligations the proposed value includes. Compare relevant transactions on the same basis. Historical machining/tooling sales offer context, but they are not current EBITDA or platform multiples for every fabricator. Equipment and expected job earnings must not be counted twice.

Build a supported annual earnings bridge

Connect completed jobs, material, labor, setup, outside processing, inspection, scrap and rework with company financial results. Explain unusual work, customer changes and remaining obligations under the accountant’s reporting basis. Cash received, job contribution and annual earnings are different measures.

SEC guidance on adjusted measures is an issuer-reporting reference.

(SEC: non-GAAP financial measure interpretations)

Have the accountant reconcile the chosen measure, period and supported adjustments. Trace owner compensation and necessary estimating, programming, supervision or sales duties. Budget recurring replacement costs consistently and check whether they are already included. Use the earnings-basis guide instead of treating draws, capital purchases, vehicle payments or debt principal as automatic add-backs.

Interpret reported machining and tooling sales

BizBuySell reports these national sold-business owner-discretionary earnings multiples for machining/tooling businesses in 2021–2025.

BizBuySell reported machining/tooling sales, 2021–2025. Owner-discretionary earnings, not EBITDA. National marketplace history, not current pricing, all fabricators or private-equity platforms.

Upper quartile4.23x

Asking listings and sold observations differ. Quartiles are distribution points, not guaranteed minimums or maximums. Verify the financial definition, reporting period, operations and included assets of actual comparables before applying a multiple. Do not relabel this table as a 2026 EBITDA range or blend it with unsupported platform tiers.

Keep equipment, tooling and work scope consistent

SBA sale guidance addresses assets, liabilities and the agreement.

(SBA: closing or selling a business)

Define CNC machines, cutting/forming/welding equipment, metrology, cranes, vehicles, fixtures, stock and software rights actually included. Check title, leases, liens and customer-owned tooling/material. Obtain appropriate technical and equipment valuation evidence rather than assuming universal age discounts or replacement-cost fractions.

A whole-business earnings value may already reflect operating assets. Adding depreciated equipment value, stock and expected backlog profit without checking scope can double count. Define open orders, remaining costs, receivables and deposits using the working-capital guide. Distinguish separately excluded or surplus assets from assets needed to generate the earnings.

Evaluate actual operating dependencies and proposed spending

SBA acquisition guidance encourages investigation of investment and operating costs.

(SBA: evaluating an existing business purchase)

Review actual equipment maintenance, necessary replacement, trained coverage, quality evidence and customer conditions. Evaluate projected downtime or new capacity under explicit assumptions, separately from achieved earnings. Upgrading a machine does not guarantee that the price increase will recover its cost.

Use the machine-shop preparation register or the fabrication handoff guide for distinct operating questions. Assess customer concentration by revenue, contribution, contract rights and replacement opportunity rather than automatic discounts at a fixed threshold. Quality credentials and repeat orders need actual scope and continuation review; neither establishes a fixed premium.

Owner questions

What multiple is appropriate for my shop?

Determine the supported earnings basis and relevant actual comparisons; historical machining/tooling observations are context, not a company-specific quote.

Can I apply the table to EBITDA or a private-equity platform?

The source describes owner-discretionary earnings in its reported machining/tooling sample; do not relabel or extrapolate its metric and scope.

Should I add equipment value to the earnings value?

Determine what the quoted price and comparables already include, then review any separate assets without duplication.

Put this decision into numbers.

Use explicit assumptions and keep the result as a starting point for your advisors.
