THE SHORT ANSWER

Record each finding, its supporting evidence, its consequence and the adviser responsible for review. Separate a proposed remedy from an accepted contractual condition and an unresolved issue from a completed action. Refresh material facts before the actual decision and carry continuing duties into the handoff. A numbered inspection list or a price concession does not establish that every issue has been resolved.

Describe the finding precisely

State the actual observation, the records and period supporting it, the reviewer and the unresolved question. Identify whether it concerns an included asset, earnings, a liability, operating permission, delivery capacity or funding. Avoid vague labels such as all clear or deal killer before the relevant review.

Use that context to assign the appropriate review. An accountant’s earnings conclusion does not resolve a title or licensing question. A clean-looking record list does not establish that environmental, employment, cybersecurity or other specialist work is unnecessary.

Separate consequence, proposal and accepted terms

Ask how the issue could affect the buyer’s intended operation or the seller’s obligations. Identify what information would change that assessment. Discuss available options with advisers rather than assuming every issue produces an automatic price reduction.

A price concession cannot create an operating license or consent that is missing. An escrow proposal does not by itself prove a liability is covered. Have counsel and other advisers assess the actual terms and remaining exposure.

Refresh material evidence through the permitted process

Identify which facts could change before the decision: results, customer commitments, asset condition, permissions, claims or funding conditions. Agree the records and responsible review needed to check them. Use actual agreement deadlines and adviser guidance rather than a universal inspection timetable.

FTC guidance supports minimizing sensitive information and restricting access.

Use authorized channels when requesting updates or specialist evidence. Do not contact staff, customers or suppliers solely because an item appears in the register. Mark a refreshed item with its date and limitations; a prior review is not a promise that nothing subsequently changed.

Carry unresolved and continuing duties into the decision

Have the responsible advisers reconcile open findings with the actual agreements, required permissions and funding conditions. Record what is resolved, what remains conditional and what needs further review. A completed task is different from an obligation that continues after closing.

Document the person, resources and evidence needed for continuing actions and obtain an agreed handoff. Use the owner-replacement cost review for permanent operating duties and the contract-permission register for proposed rights. This edition establishes no 150-point completeness claim, minimum earnings threshold for QoE, automatic indemnity remedy or right to close despite unresolved conditions. Evaluate the actual decision with qualified advisers.

Owner questions

Is a price discount enough to resolve any diligence issue?

No. Some issues require rights, permissions, funding or specialist review beyond price.

Does a proposed escrow prove the issue is covered?

No. Review accepted terms, scope, conditions and remaining exposure with advisers.

Can I mark a continuing duty complete at closing?

Track the actual duty, responsible party, resources and required follow-through separately.
