THE SHORT ANSWER

Begin with supported HVAC earnings and defined asset scope. Dated marketplace-reported sales can provide context, but their owner-earnings multiples cannot be applied directly to EBITDA or treated as current offers. Review maintenance obligations, technician coverage and owner replacement costs. Avoid adding the service-agreement book or included vans a second time to an earnings-based value.

Read the historical benchmark on its stated basis

BizBuySell reports these national HVAC sold-business earnings multiples for 2021–2025. Its earnings basis is owner discretionary earnings, rather than EBITDA.

Historical marketplace-reported HVAC sales, 2021–2025; sold prices, not current asking prices or 2026 offers. Source: BizBuySell. Not a prediction for an individual business or a private-equity platform benchmark.
Reported sold-business statisticEarnings multiple
Lower quartile1.99x
Median2.58x
Average2.75x
Upper quartile3.33x
(BizBuySell: reported HVAC sales, 2021–2025)

The median and average are different statistics. Review relevant local and business-specific comparisons, financial definitions and asset treatment with a qualified advisor. The middle-half observation does not make the bounds a guaranteed range for your shop. Do not apply a reported SDE multiple to EBITDA, revenue or unverified owner benefit.

Reconcile earnings before selecting any assumption

Trace plan fees, repair and installation results to job records and financial statements. Review refunds, warranty work, deposits, unfinished work, payroll and overhead. Explain seasonality with actual periods rather than inventing weather-normalized earnings.

Use the earnings basis guide and the financial evidence checklist. Determine the owner’s production, sales, dispatch and management work. A management-cost model requires supported costs not already deducted; the presence of a manager does not automatically change the accounting measure.

SEC guidance addresses adjusted measures in issuer reporting.

(SEC: non-GAAP financial measure interpretations)

Use it as a presentation reference with accountant review. Capital equipment purchases, vehicle principal, owner draws and every tax payment are not automatic deducted operating expenses available to add back.

Test maintenance economics and operating coverage

Review agreement scope, renewal eligibility, actual retained customers, remaining visits, delivery costs and cancellation/consent terms. Plan count and prepayment do not establish recurring profit. Cross-sold repairs and installations require their own evidence.

Map who performs and supervises work after departure through the handoff worksheet. Examine capacity, actual retention arrangements and provider access. No fixed technician revenue ratio, renewal target, customer-concentration cap or full-turn premium follows from this analysis.

Keep proposed improvements separate from achieved results. Compare their net cost and operating consequences before recommending a hire, fleet replacement or aggressive plan conversion solely to increase price.

Define price scope and cash consequences

SBA sale guidance addresses assets and liabilities in the written agreement.

(SBA: closing or selling a business)

Specify vehicles, equipment, normal parts inventory, receivables, deposits and remaining work. Avoid separate additions for assets or contract-derived earnings already included in the proposed value. Real estate and debt treatment require their own explicit scope.

Use the working-capital worksheet and the value-to-closing-cash guide to compare actual proposals. A hypothetical calculator result is not an appraisal, loan approval or likely offer. This historical sample does not establish platform pricing or automatic service-plan, route or management premiums.

Owner questions

Are these multiples current 2026 deal prices?

No. They describe the stated 2021–2025 national reported-sales sample.

Can I use the 2.58x median on EBITDA?

The reported basis is owner discretionary earnings; establish a consistent earnings measure and relevant evidence.

Should I add service agreements to the multiplied value?

Avoid double counting their earnings; define what the indicated whole-business value includes.

Put this decision into numbers.

Use explicit assumptions and keep the result as a starting point for your advisors.
