THE SHORT ANSWER
Assess escape-room value from supported continuing earnings and the actual game, software, prop and premises rights included. Reconcile fulfilled sessions with collected receipts, discounts and refunds; cost ongoing hosts, resets, maintenance and management. This guide establishes no universal sector multiple. A room’s build cost, theme novelty or future reservation count is separate from usable rights, profitable operation and matched completed-sale evidence.
Define the actual valuation scope and comparison
SBA sale guidance describes income, market and asset valuation approaches.
(SBA: closing or selling a business)Choose the method with the adviser and seek actual completed escape-room transactions matching venue/services, room count, geography, scale, game rights, owner dependence, premises and included assets. Record dates, earnings definitions, payment conditions, liabilities and unknowns. A broad entertainment sample or asking price does not independently establish an escape-room sold range.
Define included brand, scripts/designs, control code, props, systems, fixtures, deposits and contractual rights before comparing prices. Room construction cost and an IP valuation assess different items from a going-concern business appraisal. Do not add included props, game goodwill or build-out again on top of a comparable price.
Reconcile completed paid sessions
Use consistent measures for sessions, people and private groups. Reconcile scheduled slots, cancellations, no-shows, completed sessions, discounts, receipts and refunds by room and period. Separate gift cards, prepaid sessions and future reservations.
| Invented session-group reconciliation | Assumption/result |
|---|---|
| Scheduled sessions assumed | 20 |
| Completed and paid sessions assumed | 16 |
| Assumed receipt per completed session | $150 |
| Collected completed-session receipts | $2,400 |
| Distinct specified refunds | −$200 |
| Remainder after specified refunds | $2,200 |
A remainder from one group is separate from full annual earnings. Test room downtime, seasonality and actually staffed available slots; do not turn hypothetical maximum booking capacity into guaranteed cash flow.
Cost permanent hosts, resets and technical support
Map owner hosting, customer service, room resets, scheduling, repairs, marketing and management using the coverage worksheet. Confirm available continuing staff, compensation and technical support after seller assistance. Include applicable rent, utilities, maintenance, consumables, software/payment fees, insurance, marketing and administration consistently.
Use the earnings bridge to distinguish working-owner SDE from earnings after permanent coverage. Support actual booked adjustments; unpaid owner labor is not an expense to add back. Avoid removing every owner salary, double deducting existing payroll or treating ongoing prop repairs and room-refresh investment as automatically discretionary. Novelty and online ratings do not justify a fixed valuation premium.
Review usable rights, premises and prepaid duties
Have counsel assess actual creator/vendor agreements, game/code access, license term/location/support and assignment conditions. Use the consent register for premises, booking software and vendor rights. Obtain qualified prop/control/electrical inspection and investment estimates, distinguishing routine maintenance, downtime and potential refresh work.
OSHA’s employee-workplace guidance addresses unobstructed exit routes and maintained safeguards.
(OSHA: exit-route maintenance and safeguards)Have responsible authorities and professionals review the actual venue/use, occupancy, access/egress, fire/building conditions and proposed operator changes; this is not a complete patron code or site approval. Allocate gift cards, deposits, future groups, refunds and approved customer-data migration through the delivery guide. Compare closing cash, contingencies, repair investment and funded performance without counting a repair credit and the same cost twice. The tool explores assumptions and does not certify value.
Owner questions
What escape-room multiple is substantiated here?
No universal range is established; seek matched completed sales on actual earnings, game/premises rights, venue mix and included assets/duties.
Are scheduled sessions the same as realized receipts?
Reconcile completed paid sessions, discounts/refunds and actual collection separately from future bookings and maximum slot capacity.
Does room build cost equal extra business value?
Review usable rights, condition and included comparable scope; do not count included props, designs or build-out twice.
