THE SHORT ANSWER
Reconcile supported annual earnings, necessary owner replacement and usable included fleet before selecting relevant sold comparisons. BizBuySell’s broad national 2021–2025 equipment rental/dealer sold sample reports a 2.58x median owner-discretionary earnings multiple. That historical measure is not rental-only EBITDA, a current appraisal or a rule to add all replacement-cost assets to an earnings-based price.
Use the broad historical sold earnings table
BizBuySell’s category covers rental and sales across construction, agriculture, manufacturing and event equipment.
(BizBuySell: equipment rental and dealer sold benchmarks)| 2021–2025 reported sold owner-earnings statistic | Multiple |
|---|---|
| Lower quartile | 2.00x |
| Median | 2.58x |
| Mean | 3.15x |
| Upper quartile | 3.80x |
Compare actual product/service mix, period, territory, owner role and included assets with relevant sold transactions. Do not automatically apply the upper quartile for GPS tracking, repeat customers or newer machines.
Define utilization and reconcile actual earnings
Explain the actual measure before comparing utilization. Rented calendar days divided by all owned calendar days differs from rented days divided by days available for hire. Unit counts and rental dollars have different denominators. Identify downtime, sold/lost equipment and the period consistently.
Trace actual hire, return, delivery, maintenance, sales, credits and collection to annual statements. Separate rental assets from resale stock and consumables. Include shared counter, premises and administrative costs rather than treating rental revenue as expense-free cash.
SEC adjusted-measure guidance is an issuer-reporting presentation reference.
(SEC: non-GAAP financial measure interpretations)Have the accountant define starting measure/period, deducted expense and future purpose. Draws, debt principal, asset acquisitions and every repair/renovation are not automatic adjustments. Include necessary counter, dispatch, delivery and repair coordination using the earnings-basis guide.
Review actual asset and customer conditions
OSHA’s powered-industrial-truck section includes equipment/workplace training and evaluation questions.
(OSHA 1910.178: powered industrial truck requirements)Use qualified support for actual employees, equipment and operations where applicable. The reference does not govern every rental machine or establish customer eligibility, technical clearance or a complete safe-business determination.
Inspect equipment appropriately and review title, liens, leases, identifiers, location, maintenance, condition and needed investment. Read customer/provider/lease conditions using the consent register. A booking, deposit or repeat customer does not independently guarantee performed hire or usable buyer rights.
Define fleet value and closing delivery consistently
SBA sale guidance addresses valuation approaches and agreement assets/liabilities.
(SBA: closing or selling a business)Compare earnings-based proposals with asset evidence on an explicit basis. Book value, replacement cost and actual usable market value are different concepts. Determine what is already included before adding all machines again; separate debt/payoff and agreed closing cash.
Define resale stock, consumables, receivables, payables, deposits, rented-out equipment, return duties and claims using the delivery guide. Separate recurring maintenance from necessary investment and financing cash. Use the equipment seller guide for actual evidence. The scenario tool computes inputs and does not certify a value or verify buyer pricing.
Owner questions
Does the sourced 2.58x median describe rental-only EBITDA?
It describes historical owner-discretionary earnings in a broad mixed rental/dealer category.
Can two utilization percentages be compared directly?
Check numerator, denominator, period, asset scope and downtime first.
Should every machine be added to earnings-based value?
Define included equipment and sale terms first to avoid double counting.
