THE SHORT ANSWER
Value a title operation using supported continuing earnings for its actual role, agreements and assets. Separate company fees from client settlement funds, underwriter amounts and property transaction value. Reconcile completed files, permanent qualified staff and title-plant/data costs. No universal title-company multiple is substantiated here; closing counts and escrow cash do not independently establish company price or transferable unrestricted earnings.
Define the business and matched evidence
IDFPR’s Illinois resources distinguish insurers, title agents and independent escrowees.
(IDFPR: Illinois title-insurance roles and resources)Use this as a state example, with actual activities, proposed operator and jurisdiction reviewed by counsel and responsible parties. Define underwriter, title-plant/data, software and premises rights. An agency, insurer and escrow business should not be treated as interchangeable valuation scopes.
SBA describes income, market and asset valuation approaches.
(SBA: closing or selling a business)Seek actual completed comparable evidence matched for role, earnings measure, agreements, staff and assets. Insurance-agency or real-estate brokerage multiples are separate from title-company evidence. Record missing matched evidence rather than labeling an unsupported generic range a sector average.
Test completed company fees and distinct file costs
Reconcile actual retained title/search/settlement fees through agreements, completed scope, refunds, invoices, accounts and collections. Exclude client escrow and underwriter-owned amounts from this defined company-fee example; actual accounting presentation needs qualified review.
| Hypothetical completed company-fee group | Assumed amount | Boundary |
|---|---|---|
| Collected company fees after refunds | 25,000 dollars | No client escrow or underwriter amounts |
| Distinct search/data services | 6,000 dollars | Not already deducted |
| Distinct file-delivery labor | 10,000 dollars | Separate stated amount |
| After specified costs | 25,000 − 6,000 − 10,000 = 9,000 dollars | Before supervision, premises and other costs |
The 9,000-dollar remainder follows 16,000 dollars of specified costs. Supervision, management, premises, software, insurance, administration, other duties, financing and taxes are excluded. It is not SDE, annual profit, an industry margin, company price or property appraisal.
Include permanent qualified work and actual rights
Use the earnings reconciliation for actual continuing search/data, qualified file delivery, settlement/funds administration, management, premises, systems, insurance and administration costs. Map seller duties and permanent compensation through the coverage worksheet. Work that must continue is separate from an unsupported owner or one-time add-back.
Read actual underwriter, title-plant/data, provider, software and premises agreements through the consent register. Record proposed operator conditions, approvals, term, termination and continuing costs. A closing pipeline, referral relationship or database copy does not independently establish completed earnings, guaranteed future files or lawful transferable rights.
Keep fund controls and pending duties in scope
FTC guidance addresses necessary access and secure personal-information handling.
(FTC: protecting personal information in business)Have counsel and technical/control professionals review actual file/data rights, protected disclosure, retention, security and authorized migration. Separately have qualified people assess fund ownership, records, reconciliation, custody/release authority and unresolved matters. No generic certification label or software balance establishes complete compliance.
Allocate open files, earned/unearned fees, underwriter balances, client funds, refunds, claims and vendor bills through the delivery guide. Compare supported continuing earnings, actual required investment and funded closing obligations; do not capitalize total settlement inflows, property values or an unexplained file-count multiple.
Owner questions
Which title-company multiple is verified here?
No universal range is substantiated; obtain actual matched completed evidence with a defined role, earnings, agreements and asset scope.
Is the 9,000-dollar example company profit?
It is only the balance after two assumed file costs, before supervision, premises and other expenses.
Can escrow cash support a higher earnings value?
Resolve actual fund ownership and duties separately from company income and unrestricted cash.
