THE SHORT ANSWER

Value the defined management company’s continuing earnings and actual agreement scope, not gross rents, client balances or door count alone. Reconcile earned fees and permanent service costs before using a matched valuation method. National reported property-management sales offer limited context, not isolated HOA or brokerage pricing, a universal per-door value or a promised multiple.

Label the actual sold benchmark

BizBuySell’s national reported 2021–2025 property-management sold owner discretionary earnings table shows a 1.99× lower quartile, 2.58× median and 3.23× upper quartile.

(BizBuySell: reported property-management sales)

The sample primarily covers local rental/vacation property managers, including owner-operated and staffed firms. It is not isolated HOA, real-estate brokerage, managed-platform EBITDA or current local pricing. These are sold figures, separate from asking prices. Match actual completed comparisons to service mix, owner duties, scale, geography, contract terms, earnings basis, dates and payment terms.

SBA describes income, market and asset approaches.

(SBA: closing or selling a business)

Define actual assets, liabilities and method with the adviser. Properties managed for clients are not automatically company-owned acquired real estate.

Measure actual fee performance separately from doors

Define contracted, active and departed properties/units and the date/period used. Reconcile actual earned management, leasing, renewal and other fees, discounts, refunds and collections with agreements and accounts. Different services and costs mean the same door count can produce different company earnings.

Hypothetical company-fee balance; no rent-roll price or earnings estimate
Hypothetical same-period fee groupAssumed amountBoundary
Earned company fees billed20,000 dollarsLandlord rents/deposits/reserves excluded
Fee credits1,000 dollarsSame fee cohort
Company-fee collections17,000 dollarsNo other receipts or refunds assumed
Remaining fee balance20,000 − 1,000 − 17,000 = 2,000 dollarsNot guaranteed collectible cash

This leaves 19,000 dollars after credits and a 2,000-dollar remaining billed balance under stated assumptions. It supplies no operating costs, collection guarantee, annual earnings, market fee or company value. Reconcile actual recognition and settlement timing with the accountant instead of calling all rent receipts company revenue.

Budget permanent service and assess contract continuity

Use the earnings bridge for supported adjustments. Map owner/client service, leasing, maintenance coordination, reporting, funds administration and management through the coverage worksheet. Budget qualified permanent replacement where omitted, avoiding blanket owner/family salary add-backs or duplicate payroll deductions. Include actual software, premises, insurance, administration and vendor oversight.

Have counsel review actual agreement term, termination, fee changes, renewal, assignment/consent and proposed operator conditions with the consent register. Historical fees and recurring billing are separate from guaranteed retention. No fixed per-door value, universal client percentage or automatic technology/market expansion premium is established.

Review client balances and closing obligations

Illinois’s special-account rule addresses defined escrow and certain custodial rent separately.

(Illinois JCAR: real-estate special accounts, section 1450.750)

Have counsel and a qualified accountant assess actual jurisdiction, rights, ledgers, bank/account reconciliations and outstanding matters. Client deposits/reserves and rent held for owners are separate from earned company fees and unrestricted funds; do not assume a national account classification or release authority.

Allocate pending service, earned/unearned fees, credits/refunds, owner/tenant balances and vendor duties through the delivery guide. Compare closing cash, actual consents, funded duties and systems investment without duplicating assets or a price credit and its corresponding cost. Owner questions

Is 2.58× a recommendation for every property manager?

It is the median of a national reported 2021–2025 sold owner-earnings sample, with actual service and agreement scope still requiring comparison.

Does door count establish value by itself?

Test actual company fees, continuing service costs, owner relationships and contract terms rather than applying a universal per-door figure.

Is the 2,000-dollar example balance guaranteed cash?

It is only a remaining same-cohort billed fee balance under stated assumptions, not a collection or value guarantee.
