THE SHORT ANSWER

Reconcile supported annual earnings, necessary dispatch and driving replacement, actual customer terms and included fleet before selecting relevant sold comparisons. A specified route remainder is not annual SDE or EBITDA. Revenue, stops, density and software are operating evidence; they do not independently establish a universal courier multiple or automatic price premium.

Build a specified route contribution before annual reconciliation

Use completed shipments, billed amounts and actual time/distance evidence to explain waiting, failed delivery, redelivery, relief, fuel and other service costs. Allocate shared expenses consistently instead of treating a dense route as cost-free.

Invented route-group arithmetic, not a real operator or an industry rate/margin. Distinct specified costs; excludes other overhead, claims, owner replacement, tax, debt, investment and collection timing. Not a lawful payroll calculation, annual SDE/EBITDA or company value.
Invented route-group bridgeAmount
Assumed group billing$4,000
Specified driver labor−$2,100
Specified fuel−$400
Specified vehicle maintenance−$300
Specified dispatch−$250
Remainder after these costs$950

These specified costs total $3,050. Reconcile actual route data to annual accounts and include omitted costs before using earnings for valuation. A delivery count or average revenue per stop does not itself show collected profit.

Define adjusted earnings and necessary owner replacement

SEC adjusted-measure guidance is an issuer-reporting presentation reference.

(SEC: non-GAAP financial measure interpretations)

Have the accountant define the starting period, earnings measure, deducted expenses and actual future purpose. Draws, debt principal and all fleet purchases or maintenance are not automatic add-backs. Review necessary owner dispatch, driving, sales, scheduling and complaint work consistently using the earnings-basis guide.

Separate annual operating expense, necessary fleet investment, financing payments and closing cash. Do not remove recurring maintenance to raise earnings while assuming no future vehicle investment. Proposed route optimization and new accounts remain forecasts until supported.

Review customer economics and operating scope

Read rate, volume, service, termination, assignment and ownership-change terms using the consent register. Examine actual lost accounts, credits and customer exposure by revenue and contribution. There is no universal customer-percentage limit or fixed recurring-revenue premium that prices every courier.

FMCSA authority scope depends on the actual operation and cargo.

(FMCSA: operating-authority overview)

Use responsible-authority review for the proposed entity, work and ownership change. A number, fleet list or branded route relationship does not alone establish continuing permissions. Full linked rules and state requirements need separate review.

Match comparable sales and the included asset perimeter

SBA sale guidance describes multiple valuation approaches and agreement assets.

(SBA: closing or selling a business)

Seek actual sold businesses with comparable cargo, territory, work mix, owner role, fleet, earnings definitions and delivery terms. Asking prices, national mixed transport samples, platform routes and trucking EBITDA are separate comparisons; no unsupported generic range is supplied here.

Verify fleet title, liens, leases, condition and included systems. Define receivables, payables, deposits, open work and complaint duties using the closing delivery guide. Avoid adding all vehicles at replacement cost to a price already including them. Use the seller preparation guide for evidence and the scenario tool for explicit inputs, not a certified appraisal.

Owner questions

Is route contribution the same as annual SDE?

Reconcile actual route results to annual financials and include omitted shared and recurring costs.

Does a routing platform justify a fixed premium?

Review usable rights and achieved savings rather than assigning an automatic uplift.

Should every vehicle be added to an earnings-based value?

Define included assets and delivery terms first to avoid double counting.

Use explicit assumptions and keep the result as a starting point for your advisors.
