THE SHORT ANSWER
Reconcile supported annual diner earnings and necessary owner replacement, review usable kitchen/premises rights, then match relevant sold comparisons. BizBuySell’s broad national 2021–2025 restaurant sold sample reports a 1.85x median owner-earnings multiple. This is historical restaurant context, not a breakfast-only dataset, managed-platform EBITDA or proof that short hours command a premium.
Use broad historical restaurant evidence carefully
The primary restaurant category covers several small local concepts and a smaller franchise-unit component.
(BizBuySell: restaurant sold valuation benchmarks)| 2021–2025 broad restaurant sold owner-earnings statistic | Multiple |
|---|---|
| Lower quartile | 1.34x |
| Median | 1.85x |
| Mean | 2.15x |
| Upper quartile | 2.53x |
Match actual concept, geography, hours, daypart mix, scale, owner work, earnings definitions and included assets. Review genuinely relevant current transactions separately. A weekend queue, ten years trading or a shorter opening schedule does not independently justify the upper quartile.
Reconcile full-year achieved daypart results
Trace weekday breakfast, weekend brunch, dine-in, takeaway and delivery where offered through served orders, discounts, voids, refunds, provider fees, settlement and collection. Reconcile annual accounts without counting provider payouts as additional sales. Review hours, seasonal changes, closures and discontinued service on actual records.
Include actual ingredients, waste, packaging, cooks, servers, supervision, rent, utilities, repairs and shared overhead. Keep completed trading separate from gift/stored value, deposits and future group bookings. Projected lunch or evening service needs incremental demand and cost assumptions; it is not already achieved annual earnings. A sales-per-hour ratio does not replace the full operating account.
Define necessary work and supported adjustments
SEC adjusted-measure guidance is an issuer-presentation reference.
(SEC: non-GAAP financial measure interpretations)Have the accountant define starting period/measure, actual deducted expenses and future purpose. Draws, debt principal, equipment purchases and every renovation or repair are not automatic adjustments. Identify recurring early preparation, cooking, buying, scheduling, supervision and complaints using the earnings-basis guide.
Include actual permanent replacement costs on the chosen operating basis. Temporary seller training and family labor are separate from continuing funded coverage. Earnings with an owner working the line and earnings after replacement labor describe different assumptions; choose comparable evidence on a consistent basis.
Keep usable kitchen and closing assets consistent
FDA describes the Food Code as a jurisdiction model.
(FDA: Food Code model and adoption overview)Review adopted requirements, unresolved kitchen/grease/premises matters and proposed ownership/service with appropriate professionals and authorities. Inspect equipment and review title, liens, leases, condition and necessary investment. A prior inspection or repair schedule does not establish present buyer permissions.
SBA sale guidance describes agreement assets/liabilities and valuation approaches.
(SBA: closing or selling a business)Determine what an earnings-based proposal includes before adding kitchen replacement cost, furnishings or goodwill again. Resolve actual lease/provider terms and define stock, receivables, payables, deposits, stored value, bookings, refunds and claims using the delivery guide. Use the seller guide for records. Tools calculate assumptions and do not certify an appraisal or clear premises.
Owner questions
Is the restaurant median a breakfast-only valuation rule?
It is broad historical owner-discretionary earnings context; select relevant current comparisons separately.
Can expected evening sales be treated as achieved earnings?
Use explicit demand, staffing and cost forecasts separately from full-year actual results.
Can kitchen replacement cost simply be added to the price?
Define included usable assets and terms first to avoid double counting.
