THE SHORT ANSWER

Prepare a wine-bar or lounge sale with actual permissions, lease rights and delivered trading evidence. Reconcile food/drink and completed-event receipts, wine stock and continuing service costs; separate future deposits and guest credits. Review proposed operator, staff and supplier conditions. A cellar, atmosphere, wine list or crowded calendar does not independently establish value, transfer approval or earned income.

Prepare actual premises and operating conditions

Identify the actual operating entity, property owner/lease, public spaces, outdoor areas, equipment and food/alcohol/event activities. Have counsel and responsible authorities review use, proposed entity/operator and actual state/local alcohol, food, fire/building, entertainment and other conditions as applicable.

TTB’s retail overview addresses federal registration and ownership/control or location changes.

(TTB: federal alcohol retail dealer registration overview)

Separate federal retail registration from actual state/local permission. A seller’s license or landlord consent does not establish every buyer approval. Use the consent register for premises, suppliers, software/payment, reservations and other actual agreements. Document lease renewal, assignment, rent and conditions without promising automatic transfer.

Reconcile delivered service and wine stock

Separate completed drink/food service, bottle retail if actually offered, tastings and private events. Reconcile POS, discounts, refunds, accounts and bank/processor evidence using consistent periods. Keep guest taxes, tips and other amounts on the accountant’s agreed basis rather than assuming every receipt is owner income.

Count actual owned stock by identity, quantity, condition and date, including opened products, losses, third-party stock and supplier balances. Review sourcing, storage and relevant actual permissions with qualified advisers. A curated wine list or retail replacement quote is not an automatic appraisal of stock or proof of future sales. Use the wine-bar financial guide to separate trading results, stock and obligations.

Show permanent service and condition evidence

Map wine purchasing/list management, guest service, event sales, food preparation, stock control, staffing and management through the coverage worksheet. Confirm qualified continuing people, compensation and actual service coverage beyond seller assistance. Product expertise and personal guest relationships are not cost-free transferable earnings.

Collect actual equipment, refrigeration/storage, kitchen, premises, maintenance, insurance and investment records for qualified review. Document supplier access, actual availability and price/term history. Review customer feedback and event/service problems truthfully, without guaranteed atmosphere, location or staff premiums.

Allocate booked events and customer/vendor balances

SBA sale guidance describes defining assets and liabilities in the agreement.

(SBA: closing or selling a business)

Agree included equipment, usable owned stock, lease/brand rights and duties, avoiding a second addition for assets already represented in the chosen value. Separate future bookings and deposits from completed-event earnings.

Allocate private parties, tastings, deposits, gift/guest credits, refunds, vendor bills and staffing duties through the delivery guide. Have counsel review actual customer-data access, transfer/notice and event/vendor terms. Identify who holds funds, performs each event and communicates across closing. Compare closing cash, actual approvals, lease/stock scope, investment and seller responsibilities without unsupported preparation premiums or guaranteed retention.
