THE SHORT ANSWER
Prepare supported retail earnings, owned usable stock and the proposed buyer’s operating conditions before marketing a liquor store. Explain who orders, receives, sells and supervises after you leave. Specify stock and license-related scope in each offer. A busy location, license scarcity claim or large stock ledger does not independently establish a sale price.
Build a supported retail earnings file
Separate beer, wine, spirits, related merchandise and any delivery or agency services. Trace fulfilled sales through POS, discounts, refunds, provider charges, settlement and collection; reconcile these records with annual accounts and tax filings. Resolve unexplained cash differences with the accountant. Do not extrapolate unrecorded sales into a buyer cash-flow claim.
Include actual purchases, stock losses, wages, supervision, premises, utilities, refrigeration, security, payment/delivery fees and other recurring costs. Explain supplier credits and discounts on a consistent period and basis. Use the liquor-store financial guide to separate gross margin, annual earnings and historical comparisons; no standard wine/spirits margin or delivery premium is assumed.
Separate counted stock from the proposed price
Prepare dated physical counts, invoices, credits and consistent cost records. Identify stock ownership, consignment, liens, damage, slow movement and unresolved sellability or sourcing questions with appropriate advisors. A shelf or accounting balance is separate from an agreed value for eligible included goods.
Define whether stock is included, separately priced or adjusted at closing. Record the count date, eligible goods, valuation basis, treatment of returns and dispute process. Review actual supplier purchasing, credit, allocations, exclusivity, return and ownership-change conditions using the consent register. Do not assume every supplier relationship or premium bottle allocation follows the buyer.
Identify actual registration, license and premises conditions
TTB’s retailer overview addresses federal registration and ownership/control or location changes.
(TTB: federal alcohol retail dealer registration overview)Have advisors and the responsible authorities review the actual holder, proposed buyer/entity, transaction structure, location, activity, application/consent conditions and sequence. Assess state/local alcohol permissions separately, including actual delivery, hours, location/use and any additional services offered. Existing seller permission is separate from proposed buyer authority.
Read lease use, rent, renewal, assignment and landlord conditions. Record actual unresolved conditions and their effect on when the proposed buyer can operate. Do not promise a standard approval window, treat every license as transferable or add a separate license value without checking what the offer already includes.
Prepare continuing people and customer obligations
Map ordering, receiving, stock control, sales supervision and delivery using the work-coverage worksheet. Verify available permanent people and recurring cost beyond the seller’s training period. Document offered equipment ownership, liens, leases, maintenance and required investment with appropriate inspection.
