THE SHORT ANSWER
Reconcile supported annual earnings, necessary owner replacement and usable included merchandise before selecting sold comparisons. BizBuySell’s mixed national 2021–2025 hardware/building-supply sold sample reports a 2.92x median owner-discretionary earnings multiple. It is not hardware-only or cooperative-only EBITDA, a current appraisal or a rule to add all stock and real estate to an earnings-based price.
Use the mixed hardware and building-supply table
BizBuySell includes hardware and several specialty retail building-supply models.
(BizBuySell: building-material and hardware sold benchmarks)| 2021–2025 reported sold owner-earnings statistic | Multiple |
|---|---|
| Lower quartile | 2.02x |
| Median | 2.92x |
| Mean | 3.25x |
| Upper quartile | 3.86x |
Seek relevant sold service/product models, territory, financial basis, owner duties and included assets. A review score, SKU count, banner or inventory-turn label does not automatically place the business at a particular multiple.
Reconcile actual earnings and recurring owner work
Trace counter, credit-account, online, rental and other offered services through POS/orders, refunds, credits and collection. Include product cost, service labor, occupancy, provider costs and shared overhead consistently. Review actual earned rebates and supplier terms. Gross margin, operating earnings and cash after debt/stock funding measure different things.
SEC adjusted-measure guidance is an issuer presentation reference.
(SEC: non-GAAP financial measure interpretations)Have the accountant define starting period/measure, deducted expense and future use. Draws, debt principal, stock purchases and every renovation are not automatic adjustments. Include necessary purchasing, merchandising, counter service, inventory control, trade-credit collection and complaints using the earnings-basis guide.
Separate ledger stock from usable agreed inventory
Reconcile actual count, ownership, location, condition, commitments and supplier terms. State any turn measure’s cost numerator, average-stock basis and period. There is no universal healthy turn, shrinkage, age or stock-composition percentage for every store.
| Invented inventory ledger screening | Amount |
|---|---|
| Assumed ledger amount | $200,000 |
| Distinct damaged-item ledger amount | −$18,000 |
| Distinct customer-owned amount misclassified in ledger | −$7,000 |
| Remaining stated ledger amount | $175,000 |
The two specified exclusions total $25,000. The $175,000 remainder is still a stated ledger amount, not a promise that every remaining item can be sold or purchased at that value.
CPSC retailer guidance addresses recalls and restricted consumer products.
(CPSC: retailer and reverse-logistics recall guidance)Have qualified support review applicable actual product records and duties; this historical reference does not clear any specific inventory.
Define inventory, premises and closing cash explicitly
SBA sale guidance addresses valuation approaches and agreement assets/liabilities.
(SBA: closing or selling a business)State whether stock, equipment, receivables and land/building are included or separately proposed. If comparing operating business and property separately, apply a consistent rent/expense basis with advisors. Do not count the same inventory, property or rent twice.
Review actual supplier/banner and premises conditions using the consent register. Define receivables, payables, stored value, special orders, rented-out goods, returns and claims using the delivery guide. Separate debt, tax, needed investment and cash timing. Use the seller guide for records preparation. The scenario calculator applies assumptions and does not certify an appraisal or establish buyer pricing.
Owner questions
Does the 2.92x median describe independent-hardware EBITDA?
It is historical owner-discretionary earnings in a mixed hardware and retail building-supply category.
Is inventory always added at cost on top of price?
Define the proposed price, included assets, usable condition and agreement basis first.
Is a screened ledger remainder the inventory purchase price?
It remains a ledger figure until ownership, condition, restrictions and agreed pricing are resolved.
