THE SHORT ANSWER
Define the employee, customer, local-operation and personal priorities that matter to your exit. Ask buyers for specific plans and evidence, then review any proposed commitment’s scope, funding, duration and remedies with counsel. Compare those terms alongside funded cash and payment risk. Values alignment does not guarantee enforceable protections, retained control or a standard acceptable discount.
Separate legacy preferences from requirements
Write the outcomes you care about in concrete terms: a particular service continuing, opportunities for key employees, a location, a name or a community relationship. Rank your priorities and identify which are preferences, which require negotiation and which might make an offer unworkable. Do not assume the buyer can promise every outcome without cost or operating consequences.
SBA sale guidance recommends documenting agreement terms and included assets and liabilities.
(SBA: closing or selling a business)Use that context to define actual scope with advisers. The seller decision worksheet connects your priorities to timing, cash and role preferences. A value expressed in a conversation is separate from a reviewed provision accepted in the transaction documents.
Ask for buyer evidence rather than a cultural-fit label
Ask how the buyer proposes to staff, fund and operate the business. Request relevant permitted references, documented prior experience where available and a plan for the actual operation. A buyer’s friendly manner, investor category or unsupported reputation summary cannot prove future conduct.
| Legacy preference | Question for a concrete buyer proposal |
|---|---|
| Employee continuity | Which roles, compensation or development commitments are proposed and funded? |
| Customer service | Which services, operating resources and responsibilities would continue? |
| Local presence or name | What scope, rights, exceptions and duration are proposed? |
| Community activity | Who authorizes and funds any continuing commitments? |
| Seller involvement | What authority, workload, compensation and end conditions are accepted? |
Verify references and information through permitted channels. Do not contact private employees or customers without appropriate authorization. Identify any conflict between a preferred commitment and necessary permanent operating capacity.
Review the cost and scope of any proposed protection
SBA acquisition guidance emphasizes investment, operating costs and professional document review.
(SBA: evaluating an existing business purchase)Have counsel assess the actual proposed parties, duration, exceptions, reporting, enforcement and remedies. Have the accountant and buyer explain funding for employee, service or community commitments. No universal twelve-to-twenty-four-month employment guarantee applies, and a retention bonus funded from the purchase price changes seller economics.
A board seat or advisory title does not automatically confer continuing control or protection for employees. Review actual governance and role terms separately. Use the transition role log to distinguish accepted work from informal hopes of influencing every post-sale decision. Leave unaccepted proposals visibly marked as proposals.
Compare complete offers without a universal values discount
Use the offer comparison to record actual funded closing cash, deferred consideration, escrows, costs, debt settlements, qualified tax estimates and continuing seller duties. Keep claimed future upside separate from guaranteed payment. Compare the scope and evidence for each legacy commitment on the same worksheet.
This guide supplies no finding that sellers normally accept five-to-ten-percent less for aligned buyers or that a lower price creates greater satisfaction. The tradeoff is the owner’s decision on supported terms and circumstances. Document the rationale and unresolved conditions, and ask advisers whether the proposed documents match the intended outcome. A legacy preference can guide selection without making a promise of preservation that no party has actually accepted.
Owner questions
Should I accept a standard discount for a values-aligned buyer?
This guide establishes no standard discount. Compare your priorities with documented commitments, usable cash and payment risk.
Does a board or advisory role preserve my control?
Not automatically. Review actual governance, authority, role and compensation terms with counsel.
Are employee-retention promises guaranteed?
Review the actual accepted scope, duration, funding, exceptions and remedies; a verbal preference is separate from an enforceable provision.
