THE SHORT ANSWER

Define the assets, entities, property and operating activities you propose to acquire before commissioning environmental diligence. Use qualified professionals to investigate findings and assess remaining duties. Check report scope, timing and intended-user requirements, then fund accepted next steps. A Phase I report, asset purchase or cleanup letter alone does not prove complete protection or an unrestricted site.

Define what changes hands and what operation continues

Map the proposed property owner, tenant, operator and acquiring entities. Identify included land, equipment, inventory and operating locations, plus seller-retained assets or duties. Review the actual asset or ownership purchase with counsel. A structure label cannot resolve every environmental responsibility; acquiring an operating business while leasing its property still requires a properly scoped review.

Use the premises guide to state actual occupancy terms and the consent register for permissions. Give the environmental team the intended use, planned changes and available history. Ask what the investigation covers and what requires separate operating, technical or legal review. Do not infer complete compliance from one site visit.

Check whether the report answers this buyer’s questions

EPA describes qualified professional inquiry and protections subject to eligibility conditions and continuing duties.

(EPA: All Appropriate Inquiries)

Have the professional and counsel assess the actual report’s date, required updates, scope, covered property, intended-user terms and missing evidence for the proposed acquisition. Do not assume a seller’s older report can simply be reused or that a professional must hold one specific credential in every case. Ask for the applicable qualifications and current inquiry requirements.

Buyer environmental-diligence questions; investigate rather than assume protection
Buyer investigation questionEvidence before relying on an answer
Does the report cover the acquisition?Actual property, activity, date, scope and intended-user requirements
What remains unresolved?Professional findings, gaps and scoped additional investigation
What will the buyer operate?Reviewed activity requirements, permissions and corrective duties
What must continue after closing?Actual controls, responsible parties, access and funded payment dates

Ask the professional to propose any additional investigation needed. This worksheet supplies no automatic sampling requirement, technical testing instructions, complete AAI checklist or blanket defense.

Read program closure within its actual boundaries

Illinois EPA distinguishes program-specific NFR scope and continuing conditions.

(Illinois EPA: No Further Remediation letters)

Review the letter, covered area and contaminants, attachments, recording and actual remaining duties. Have the relevant agency and advisers assess whether the proposed operation and changes fit those terms. Do not translate a closure heading into no contamination, no future cost or approval of redevelopment.

Inspect evidence of required maintenance, monitoring and other controls where applicable. Identify who can enter the property, who funds the work and what happens if the proposed seller or landlord no longer performs it. Include these questions in the premises and transaction review rather than relying on a summary in a sales memorandum.

Connect findings to the decision and funded operation

Maintain a written findings register with the evidence, qualified assessment, open question, responsible party, proposed response, estimate and status. Distinguish a current finding from a buyer assumption. Use actual estimates for further investigation and accepted work; this guide prescribes no standard contingency percentage, remediation budget or price discount.

Have counsel document agreed representations, responsibility, access, escrow and other remedies; have the lender assess actual funding conditions. Confirm insurance terms with the provider rather than assuming known conditions are covered. Contract allocation is separate from legal liability to agencies or other parties.

Reconcile one-time cash uses, recurring duties and operating costs in the acquisition model. Include permanent qualified capacity without duplicating costs already in earnings. Proceed on documented evidence and accepted conditions, not a statement that every concern can be solved after closing.

Buyer questions

Does buying assets automatically avoid environmental liability?

No blanket conclusion applies. Have counsel assess the actual acquisition, property, operator and applicable responsibilities.

Does a Phase I report automatically provide a complete defense?

No. Have qualified advisers assess the actual inquiry, eligibility and continuing duties; a report alone establishes no blanket protection.

Should I use a fixed cleanup contingency percentage?

Use qualified estimates and explicit uncertainty for the actual findings. This guide provides no universal budget or discount rule.

Put this decision into numbers.

Use explicit assumptions and keep the result as a starting point for your advisors.

  • EPA: All Appropriate Inquiries

Property inquiry, qualified environmental professionals and potential liability protections subject to conditions and continuing duties. A report alone is not a complete defense, operating-compliance review or guarantee that a site has no contamination.

  • Illinois EPA: No Further Remediation letters

Program-specific closure, focused versus comprehensive scope, site conditions, recording and continuing controls. Review the actual letter and current requirements with qualified advisers; a closure label does not establish unrestricted use or universal buyer acceptance.

Confirm tax, legal, accounting and lending applications with the relevant professionals. Historical market observations describe the stated period and reported sample.
