THE SHORT ANSWER

Verify supported fuel/store results and the actual site, supplier and proposed buyer/operator conditions before relying on gas-station cash flow. Establish what property, tanks, equipment and stock the buyer receives. Fund replenishment, required work and continuing obligations. A brand, traffic count or environmental report alone does not establish future earnings, usable rights or site clearance.

Verify fuel quantities, settlement and full-year costs

Sample pump/POS sales through discounts, refunds, provider charges, settlement and collection. Reconcile fuel deliveries and tank/stock quantities by product and consistent period, with appropriate review of differences. Read actual purchase, freight, tax/fee, payment and rebate definitions rather than assuming a posted price spread is distributable income.

Verify merchandise, food, agency services, wash/service bays and other offered activity with actual purchases, stock losses, staffing, equipment and shared overhead. Include full-year premises, utilities, supervision and maintenance. Review adjustments and continuing work using the gas-station financial guide. Proposed volume, food or wash improvements need supported assumptions and incremental costs.

Verify actual property and asset scope

Review property title/occupancy, boundaries/access, permitted use, rent, renewal, assignment and landlord conditions with appropriate professionals. Establish whether property is included or separately offered and whether earnings/rent and property assumptions are consistent. A comparable price that already includes property cannot support adding it again.

Identify tank/piping, pump, canopy/signage, POS, refrigeration and other equipment title, liens, leases and supplier/landlord ownership. Arrange appropriate condition and required-investment review. Reconcile dated fuel and merchandise counts, sourcing/title records and eligible usable goods. Define count, valuation, price inclusion and disputes using the delivery guide.

Resolve actual site and proposed operator conditions

EPA’s UST resources address prevention/detection, financial responsibility and reporting/records, with implementing-agency review.

(EPA: underground storage tank owner and operator resources)

Have qualified environmental professionals, counsel, the responsible agencies and any lender review actual tank/system and operator records, inspection/testing/maintenance documents, available environmental reports, release/cleanup history and agency correspondence. Establish assessment scope, report reliance/update, gaps, unresolved findings and proposed ownership/operator conditions. Do not infer clearance from appearance, a recent test or a report alone.

Review actual responsibility/coverage documents with specialists, including proposed buyer coverage, eligibility, exclusions and ongoing duties. A seller indemnity or negotiated discount does not by itself establish a release from every responsibility. Model unresolved work on actual evidence instead of a universal Phase I/II budget, tank-age rule or approval deadline.

Verify supply rights, people and operating funds

Read actual fuel/brand/dealer and payment agreements for price/freight/rebates, volume, exclusivity, term, renewal, security, equipment/image and ownership-change conditions. Use the consent register for supplier/premises and actual activity approvals. Map purchasing, inventory/cash control, store/food supervision and site/operator duties using the coverage worksheet; verify permanent people and recurring cost beyond training.

SBA acquisition guidance encourages review of investment and operating costs.

(SBA: evaluating an existing business purchase)

Model stock purchases, supplier terms, payroll, settlement, refunds, rent, repairs, site work and reserves alongside price, financing and transition. Test slower trading and delayed conditions with stated assumptions. Define deposits, balances, orders and customer duties; verify actual lender requirements using the financing guide. FTC guidance addresses necessary access/security.

Use approved redacted samples and resolve actual system, payment, phone and website rights with permitted access.
