THE SHORT ANSWER

Define the actual beer or spirits operating model, reconcile annual earnings and production/channel costs, and review its specific rights and inventory before comparing offers. Brewery owner-earnings data does not establish a distillery EBITDA multiple. Multi-state distribution, a capacity target and equipment cost do not independently justify a premium or an extra asset addition.

Define the actual operation before selecting comparisons

Describe what the company actually produces, contracts out, packages, stores and sells. Separate taproom/on-premise service, retail, wholesale and contract production where offered. For spirits inventory, document actual batches, stage, ownership, storage, customer commitments and appropriate remaining-work questions; expected future releases are separate from achieved sales.

The reviewed BizBuySell brewery category mainly concerns local craft concepts and related on-premise service.

(BizBuySell: brewery sold valuation benchmarks)

Use the brewery sold-evidence guide only within that scope. It is not a distillery-only dataset or a managed-platform EBITDA sample. Seek genuinely relevant current transactions with matching measures, scale, channels, geography, assets and work rather than apply an unsupported combined 3–6x rule.

Reconcile channels, production and necessary work

Trace fulfilled on-premise sales, accepted shipments and other offered activity through discounts, credits, returns, distributor/provider charges and collection. Reconcile periods to annual accounts without duplicating invoices and deposits. Include materials, packaging, production/service labor, utilities, storage, repairs, delivery, premises and shared overhead on consistent bases.

Review actual saleable output, losses, downtime, bottlenecks, inventory aging, demand and available people. Nameplate capacity and a utilization percentage are separate from achieved profit. Channel margins depend on the specific cost definition; do not substitute universal wholesale/taproom shares or margins. Separate forecast territory growth from completed trading.

Have the accountant define starting measure, period, actual deductions and necessary recurring production/quality/sales work using the earnings-basis guide.

Review beer and spirits approval paths separately

TTB publishes separate brewery and distilled-spirits change guidance.

(TTB: brewery changes after original qualification) (TTB: distilled spirits change in proprietorship or control)

Have advisors and TTB assess the actual proposed entity/ownership structure and relevant qualification, registration, permit and applicable bond conditions. Do not import the beer path into a spirits transaction or assume unchanged premises remove every requirement.

Resolve actual state/local production, distribution, sales and premises questions separately with authorities. Review distributor territory, pricing, returns, termination, exclusivity and change terms with counsel. Read actual lease/use/utilities/access and consent using the consent register. These overviews do not provide complete operating instructions or clearance.

Keep inventory, equipment and business price distinct

SBA sale guidance describes valuation approaches and agreement scope.

(SBA: closing or selling a business)

Identify assets already included in an earnings-based proposal before adding brewhouse, still, tanks, packaging, brand or distribution value again. Use the equipment-appraisal brief for a distinct equipment opinion; document actual title, liens, leases, condition and investment with appropriate specialists.

Define raw materials, packaging, work in process, finished stock, any aging inventory, receivables/payables, accepted orders, deposits, refunds and claims using the delivery guide. Identify ownership, remaining production/storage costs, actual permissions and funding. Inventory ledger cost is separate from negotiated value and future realized proceeds. Compare cash and funded operation; no automatic equipment premium, territory uplift, standard appraisal price or preparation success guarantee is assumed.

Does multi-state distribution prove a valuation premium?

Review actual channel earnings, contract rights, costs and relevant comparisons.

Should equipment be added after multiplying earnings?

Determine which assets the proposal already includes and keep separate equipment opinions in their stated scope.

Primary national reported 2021–2025 sold brewery owner-discretionary earnings table. • TTB: brewery changes after original qualification

Federal brewery guidance distinguishes a successor proprietor from changes of control within the continuing entity. Review actual proposed structure, qualification and filing/approval conditions with TTB and advisors. Not distilled-spirits guidance, state/local alcohol-sales permission or complete operating instructions.

  • TTB: distilled spirits change in proprietorship or control

Federal distilled-spirits guidance distinguishes changes of proprietor and control, with registration, permit and applicable bond conditions.
