THE SHORT ANSWER
Value a bakery or coffee shop by reconciling supported annual earnings, necessary owner work and usable included assets, then matching relevant sold comparisons. BizBuySell reports national 2021–2025 sold owner-earnings medians of 2.18x for bakeries and 2.00x for coffee shops/cafes. Those historical categories do not establish wholesale EBITDA pricing, a current appraisal or fixed lease and loyalty premiums.
Keep the two historical categories separate
These primary tables cover small local bakery and cafe concepts, including some franchises; they are not wholesale-only or roasting/manufacturing-only datasets.
(BizBuySell: bakery sold valuation benchmarks) (BizBuySell: coffee shop and cafe sold valuation benchmarks)| 2021–2025 sold owner-earnings statistic | Bakery | Coffee shop/cafe |
|---|---|---|
| Lower quartile | 1.61x | 1.50x |
| Median | 2.18x | 2.00x |
| Mean | 2.40x | 2.20x |
| Upper quartile | 2.84x | 2.55x |
Match actual concept, location, scale, revenue mix, hours, owner work, measure definitions and included assets. A hybrid cafe needs a defensible comparison set rather than averaging category medians or relabeling them as EBITDA. Investigate current comparable transactions separately.
Test actual retail and wholesale cost evidence
Reconcile fulfilled retail, special-order and wholesale activity through discounts, returns, credits, provider fees, settlements and collection. Include actual ingredients, waste, production/barista labor, packaging, delivery, premises, utilities, repairs and shared costs. A beverage gross margin, supplier order or wholesale sales share is separate from supported annual earnings.
| Invented wholesale-order group | Assumed amount |
|---|---|
| Fulfilled sales after stated credits | $4,000 |
| Ingredients | $1,500 |
| Production labor | $1,200 |
| Delivery | $500 |
| Packaging | $200 |
| Remainder after these specified costs | $600 |
Repeat the analysis using actual records and a consistent cost basis. Review collection delays, returns and account concentration; recurring invoices alone do not prove reliable profit or contractual transferability.
Define earnings and necessary owner replacement
SEC adjusted-measure guidance is an issuer-presentation reference.
(SEC: non-GAAP financial measure interpretations)Have the accountant establish the starting period/measure, actual deducted expense and future purpose. Draws, debt principal, equipment purchases and every repair or renovation are not automatic add-backs. A machine repair can relate to continuing maintenance; an owner vehicle can be necessary for delivery. Use the earnings-basis guide to define supported adjustments.
Price permanent baking, barista supervision, purchasing, scheduling and account coverage on the chosen operating basis. Temporary training, family help or an intended manager hire does not establish future cost-free labor. Owner-discretionary earnings and earnings after permanent replacement describe different operating assumptions.
Keep assets, lease and customer duties in the price scope
SBA sale guidance describes valuation approaches and agreement assets/liabilities.
(SBA: closing or selling a business)Review title, liens, leases, condition and necessary investment for ovens, espresso equipment, roasting equipment where offered, vehicles and other assets. Determine what an earnings-based proposal includes before adding equipment, recipes, loyalty data or goodwill again. Review actual account and lease terms using the consent register.
Define inventory, receivables, payables, deposits, accepted orders, gift/stored value, refunds and claims using the delivery guide. Outstanding gift cards can leave service duties and require funding; they are not automatically added brand value. Verify buyer operating permissions with appropriate support. Neither a longer lease nor a social rating creates a fixed uplift. Use the bakery seller guide or the coffee seller guide for preparation; tools calculate assumptions and do not certify an appraisal.
Owner questions
Are the published bakery/cafe multiples wholesale EBITDA?
They are separate historical owner-discretionary earnings categories, not wholesale-only EBITDA data.
Does a short lease cause a fixed percentage discount?
Review actual assignment, rent, renewal and usable operating rights; no universal discount is established.
Are outstanding gift cards simply added goodwill?
Define remaining service/refund duties, funding and agreement treatment.
